The Senior Corporate Counsel – Executive Compensation and Employee Benefits will be a member of the Employee Benefits and Executive Compensation practice group within the Delta Air Lines Law Department, based in Atlanta, Georgia. This attorney will report to the Deputy General Counsel & Chief Litigation Counsel and will have primary responsibility for partnering closely with and providing advice and support to senior executives and other colleagues within the company, including Delta’s Human Resources Executive Compensation Team.  Responsibilities in this regard will include drafting and providing analysis and review of executive compensation plans and documents, equity plans and award agreements, compensation arrangements, and other executive compensation related documents.  This attorney will lead preparation of the executive compensation components of the company’s proxy statement and assist with other compensation -related disclosures contained in SEC filings.  He or she will provide legal advice to the Personnel & Compensation Committee of the Board of Directors concerning corporate governance and compensation practices and assist with the preparation of Committee meeting materials.

This attorney will also provide support to Delta’s Human Resources Benefits Team, plan fiduciaries, and other internal colleagues at all levels of the company regarding governance and fiduciary matters and, plan design, implementation, interpretation and compliance with respect to: health and welfare plans, retirement plans, and severance plans, including benefit plan and program compliance with ERISA, Affordable Care Act, the Internal Revenue Code, COBRA and related state laws. This attorney will also: provide analysis and review of employee benefit plans and plan administration, review and negotiate service provider agreements, and interface with outside counsel and government agencies on benefits and executive compensation related matters, as well as provide direction and oversight to a paralegal who supports these matters.

Key Responsibilities:

  • Provide day-to-day executive compensation, ERISA and employee benefits advice and guidance to Delta’s Human Resources executive compensation and benefits teams, plan fiduciaries and other internal colleagues at all levels of the company, to ensure Delta and its subsidiaries maintain compliant employee benefits and executive compensation plans and programs.
  • Monitor developments in executive compensation, ERISA and employee benefits law and policy and proactively coordinate with Delta’s Human Resources teams and others to ensure ongoing compliance with legal and policy requirements.
  • Be willing and able to develop strong and proactive relationships with internal colleagues at all levels of the company.
  • Provide direction and oversight to a paralegal supporting employee benefit related work.
  • Manage and achieve successful resolution of legal issues with respect to the company’s executive compensation and employee benefits related matters.
  • Ensure legal solutions are consistent with Delta’s culture and Rules of the Road.

What you need to succeed (minimum qualifications)

 

  •     Juris Doctorate with excellent academic credentials.
  •     License to practice law in the U.S. with State Bar admission in at least one jurisdiction.
  •     8+ years of work experience in a law firm or equivalent in-house experience, with a primary focus on executive compensation and employee benefits law.
  •     Demonstrated ability to provide the highest quality legal work-product.
  •     Excellent communication skills (oral and written).
  •     Ability to provide thought leadership on strategic matters as well as execute on tactical operational details.
  •     Ability to work quickly and competently to prioritize, manage, and multi-task in a fast paced and dynamic working environment.
  •     Self-motivation, self-reliance, and confidence as a self-starter and detail-oriented individual.
  •     Demonstrate core values of integrity, care, resilience and servant leadership.
