As a Corporate Securities Paralegal you will provide assistance to Micron’s Corporate Secretary office, and other team members within the Corporate Legal function. This opportunity requires a team player, with strong attention to detail, as well as proficiencies in multi-tasking, and the ability to work independently with limited oversight.

Some Of The Duties Include

  • Assist with the planning and coordination of Board and Committee meetings, including agenda preparation, review of materials and timely posting of materials to Board.
  • Assist with proxy statement preparation, including sections relating to corporate governance, director compensation, and beneficial ownership of shares.
  • Coordinate annual and special shareholder meetings concerning meeting logistics, document production, mailings, and distributions, engagement of solicitor, inspector, and tabulator.
  • Assist, as needed, with Section 16 reports on Forms 3, 4 & 5.
  • Assist with Nasdaq and SEC compliance activities.
  • Fulfill requests for corporate information, including copies of minutes, consents and other corporate documents.
  • Ability to deal with sensitive and confidential information with diplomacy and discretion, as well as a high degree of accuracy and attention to detail.
  • Ensure written materials prepared are complete, concise, and error-free.
  • Support maintaining corporate organizational documents and minutes, including minute books, legal files and other corporate information and officer appointments.
  • Ability to effectively multi-task.

Qualifications

  • Bachelor's degree from accredited college or university.
  • At least 5 years of experience at an AMLAW 100/200 law firm or a Fortune 1000 corporate legal department with extensive experience in general corporate legal support
  • Public company corporate governance and board experience, including assisting with preparation of board materials, resolutions and agendas.
  • Experience preparing and filing Section 16 filings.
  • Ability to function independently, as well as implement and maintain special projects with minimal direction.
  • Strong organizational skills, as well as an ability to work with a high degree of accuracy and careful attention to detail.
  • Complete reliability handling confidential, often highly sensitive information.
  • Ability to exercise sound judgment in prioritizing tasks.
  • Strong people skills along with the ability to build relationships at all levels within the Company
  • Excellent verbal and written communication skills.
  • Experience interacting with internal and external individuals at all levels, including senior executives and outside third parties.
  • Experience using Diligent, CSC and other tools for performing the above duties (MS Word, Excel & PowerPoint; SEC and EDGAR).
