Summary

Corporate Counsel (Data Privacy and Technology Agreements) is responsible for providing the organization with effective and efficient legal counseling and advice with respect to legal obligations and regulatory requirements governing retail operations. This role will (i) draft, negotiate, interpret, and provide advice and guidance to the company on a wide range of commercial contracts; (ii) advise the company regarding existing and proposed regulations and laws applicable to retail companies; vendor obligations; and vendor risk management; and (iii) partner with leadership across the company in legal matters to ensure compliance with laws and success for business initiatives and goals. Corporate Counsel (Data Privacy and Technology Agreements) will apprise his or her supervisor and various internal departments on legal risk, mitigation, and compliance with laws, and will provide on-going legal support to the Legal CoE and various internal business partners.

Essential Duties And Responsibilities

Drafts, reviews and negotiates a wide range of commercial agreements, including those related to e-commerce, digital marketing, information technology, and all other agreements involving privacy and data security related matters. Drafts, reviews, and negotiates technology agreements, including licensing, SaaS, cloud services, and vendor contracts, ensuring robust data protection measures are in place.Works with key internal stakeholders to review proposed and current projects which involve the collection or utilization of consumer and/or employee personal data and advises on best practices and compliance with privacy and data protection laws.Stays informed of legislative developments in data privacy and technology to ensure compliance across the organization and works closely with cross-functional teams to integrate data privacy and security considerations into business practices.Investigates, manages, and proposes resolutions to contract disputes and other vendor conflicts.Assists in the development and maintenance of standard contract templates for sophisticated commercial transactions.Works within the company’s contract lifecycle management system and improves processes related to same.Advises business leaders with respect to legal issues and risk management concerning the development and implementation of business strategy and the overlap of data privacy, technology and information security issues.Provides analysis and counseling on current and future laws, rules, regulations, and industry best practices, including those related to data privacy and information security, such as GDPR, CCPA and other relevant frameworks.Drafts, updates and counsels internal stakeholders on consumer-facing disclosures, including privacy policies and terms of use. Works with the Global and/or North American Data Protection Officer(s) as needed on consumer and employee privacy requests and other issues, as requested.Maintains and advances business relationships in area(s) of expertise and identifies and implements appropriate risk reduction methods and tools.Extends a “one team” approach to risk reduction for the organization by engaging in miscellaneous generalist legal support as needed.Develops collaborative relationships with leaders in all business units and develops legal expertise as necessary to meet the needs of a corporate legal department.Ensures the timely and efficient management and completion of a multitude of varied projects.Other duties may be assigned.

Qualifications

Law degree from accredited law school.Licensed to practice law in AL or IN and in good standing of such respective state bar.2-5+ years of experience in a law firm or/as in-house counsel.Experience with compliance with laws governing retail operations and/ regulatory matters.Experience in advising on information security and data privacy laws and regulations.Experience in contract drafting and negotiation.Privacy certification (CIPP/US) preferred.Proven ability to build relationships and collaborate with cross-functional partners successfully.Effective and compelling written, verbal, and visual communication skills, including training experience, policy drafting and communications, and ability to effectively convey information across different roles and departments.Sound decision maker with excellent, analytical, and problem-solving skills, effective time management, and ability to successfully manage multiple deadlines.Excellent attention to detail with strong organizational skills.Analytical thinking, risk management, strategic agility skills needed.
