Job description: Job Duties and Qualifications This position will assist the Sr. Director for Subsidiary Management with overseeing and supervising approximately 100 legal entities across the US and the Caribbean. Responsibilities will include drafting and preparing annual general reports, resolutions, powers of attorney, certificates of incumbency, and other public company matters. The ideal candidate will have significant experience in Public Law, corporate governance and/or entity management as wells as working with the various Secretaries of State offices/websites and/or registered agents in the creation, liquidation, merging, and amending of entities, filing of annual reports and required fees.   • Assists in-house attorneys in handling various legal matters relating to registered companies and entity management.
  • Supports in-house attorneys with preparation of Board, Committee, and annual meetings.
  • Supports in-house attorneys with preparation, editing, and management of Company policies and business practices.
  • Maintains records and information systems.
  • Requires broad range of experience and ability to work independently.
  • Experience with various entity management systems, Workivia, Microsoft applications, DocuSign, and SAP is a plus.

Requirements

  • Typically requires undergraduate degree, and/or paralegal certificate and/or equivalent experience.
