Job Summary
As a Paralegal at Semtech, you will play an essential role in providing comprehensive legal support to the in-house legal team, assisting with a wide range of legal matters, including intellectual property (IP), corporate governance, and contracts. The ideal candidate will have significant experience as a paralegal, preferably with exposure to the semiconductor industry or technology-related sectors. This role requires strong organizational skills, attention to detail, and the ability to manage multiple priorities in a dynamic environment.
Responsibilities
- Contract Management: (30%)
- Assist with the drafting, review, and negotiation of various contracts, including vendor agreements, licensing agreements, NDAs, and supplier contracts.
- Maintain an organized contract database, track important deadlines, and ensure contracts comply with legal and regulatory requirements.
- Support in-house legal counsel in ensuring the company’s contracts are properly executed and stored.
- Corporate Governance and Compliance: (20%)
- Assist with the preparation and filing of corporate governance documents, including board resolutions, meeting minutes, and SEC filings (e.g., proxy, 10-K, 10-Q, 8-K).
- Help ensure compliance with regulatory requirements, corporate policies, and industry standards, particularly in relation to semiconductor industry regulations and international standards.
- Support corporate secretarial functions, including maintaining corporate records and ensuring proper governance procedures are followed.
- General Legal Support: (30%)
- Provide administrative support to in-house legal counsel, including scheduling meetings, maintaining legal files, and managing document production.
- Help with tracking legal budget and invoicing from outside counsel, ensuring proper documentation and compliance with budgetary constraints.
- Act as a liaison between internal teams and external legal service providers, including law firms, patent agents, and other third-party vendors.
- Intellectual Property Support: (20%)
- Provide paralegal support for patent and trademark portfolio management, including preparing and filing patent and trademark applications, maintaining IP records, and managing correspondence with external counsel.
- Assist in patent litigation and IP enforcement efforts, including managing discovery, document production, and coordinating with outside counsel on various legal proceedings.
- Conduct patent research and provide preliminary patentability assessments, FTO (freedom-to-operate) analyses, and IP portfolio audits.
Minimum Qualifications

Associate’s degree in Paralegal Studies or a related field, or a Paralegal Certificate from an accredited program.

Minimum of 5 years of experience as a paralegal, with significant exposure to corporate law, intellectual property, and contract management.

Familiarity with patent and trademark prosecution, contract law, and corporate governance procedures.

Skills:
- Strong knowledge of legal terminology, legal research techniques, and document management systems.
- Proficient in using legal software and contract management systems.
- Excellent organizational skills and the ability to manage multiple projects simultaneously in a fast-paced environment.
- Strong attention to detail, critical thinking, and problem-solving skills.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).

_ A reasonable estimate of the pay range for this position is $72,000 - $103,500. There are several factors taken into consideration in determining base salary, including but not limited to: job-related qualifications, skills, education and experience, as well as job location and the value of other elements of an employee’s total compensation package.
