
Senior Commercial Counsel
Posted Mar 10 Full TimeBillerica, Massachusetts We are seeking a Senior, Commercial Counsel to support the Entegris Law Department by providing comprehensive legal counsel and guidance on a variety of commercial and operational matters. The ideal candidate will be driven and experienced in providing practical, creative and timely legal guidance on a range of commercial and operations topics. This high-visibility role presents a unique opportunity to have an immediate impact in driving key strategic initiatives and mitigating risk across a global organization. This position will report to the Associate General Counsel, Corporate and Assistant Secretary and is based in Billerica, MA.
Key Responsibilities
- Serve as the Law Department’s primary resource in providing strategic, practical and concise legal and business advice to business units, sales and procurement teams, with a focus on balancing legal risk against business initiatives.
- Review, draft, and negotiate a variety of agreements, including customer, supply, contract manufacturing, distribution, real estate lease and other complex agreements.
- Drive ongoing enhancements of contract templates, forms, policies and processes to streamline and simplify the contracting lifecycle, including through adoption of AI resources.
- Manage, collaborate with and provide guidance to team of contract professionals.
- Lead enterprise-wide projects and initiatives designed to create value and maximize efficiencies across the organization.
- Provide trainings to internal stakeholders to promote better understanding of legal and regulatory requirements, industry standards and best practices in commercial contracts.
- Support resolution of contractual disputes with third parties.
- Manage relationships with outside counsel, as necessary.
- Other matters, as assigned.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law and an active member of a state bar, with no negative disciplinary record.
- 5+ years of experience reviewing, negotiating, and driving commercial contracts to execution (both in-house and law firm experience preferred).
- Strong knowledge of contract law and legal principles related to commercial transactions.
- Excellent negotiation, drafting and communication skills.
- Proven ability to exercise good judgment, balance multiple matters in a fast-paced environment and work under tight timelines with close attention to detail.
- Capable of working effectively within a team setting, build strong working relationships across functions (e.g., sales, procurement, finance), and manage relationships with non-legal business partners.
- Experience and/or interest in using AI tools and other legal technology.
