Job Overview

The Corporate Counsel will serve as the primary legal advisor for the company, responsible for ensuring legal compliance while enabling business growth. This key role will involve overseeing contract negotiation, managing regulatory compliance, and guiding business decisions to mitigate legal risks.

Key Responsibilities

  • Draft, review, and negotiate various commercial agreements, including but not limited to, Master Service Agreements (MSAs)Statements of Work (SOWs)Non-Disclosure Agreements (NDAs)Letters of Understanding (LOUs), and contract terminations
  • Lead contract negotiations with customers, partners, and vendors, ensuring that terms reflect business priorities while minimizing legal risk.
  • Advise internal teams on how to align their activities with applicable laws and regulations, ensuring compliance at all stages of business operations.
  • Collaborate with product and engineering teams to assess the legal risks associated with new product features, releases, and updates, ensuring compliance with applicable laws.
  • Provide proactive legal guidance to business leaders on key business decisions, helping to minimize potential legal risks while supporting growth initiatives.
  • Serve as the primary legal contact for handling disputes, including contract breaches, claims, and negotiations for resolution, both internally and externally.
  • Stay engaged with industry associations, regulatory bodies, and other stakeholders to remain ahead of legal trends, emerging risks, and best practices in the tech and SaaS spaces.

Required Skills And Experience

  • JD (Juris Doctor) from an accredited law school.
  • A minimum of 5 years of relevant experience as a corporate or in-house counsel, preferably in SaaS, technology, or other fast-paced, high-growth industries.
  • Extensive experience in contract negotiation and drafting, with a focus on commercial transactions and software licensing agreements.
  • In-depth understanding of data privacy, accessibility, and emerging regulations in the tech and SaaS spaces.
  • Demonstrated ability to provide legal counsel to non-legal teams and executives, translating complex legal issues into actionable business decisions.
