Position Overview

Tract Capital is seeking an experienced Corporate Counsel, Private Equity in connection with

its alternative investment business. As Corporate Counsel, Private Equity for the Firm, this

position will play a critical role in supporting the structuring, formation, launch and

maintenance of the Firm’s real estate and other alternative investment funds. The Firm has

a strong preference for this role to be based out of the Firm’s headquarters in Denver,

Colorado, but a candidate that exceeds the requirements of this Job Description that is not

based in Denver, Colorado, would also be considered, subject to a willingness to travel to

Denver, Colorado on a regular basis. The successful candidate will report directly to the

Firm’s Chief Legal Officer. The position is a highly visible role that will interact on a regular

basis with both the Tract Capital management team, as well as Tract Capital’s investors

across each of its investment vehicles.

Responsibilities

Meeting the day-to-day requirements of private equity funds and platforms managed by the

Firm. Providing legal counsel and strategic guidance to the Firm and its platforms, demonstrating

business acumen and playing a lead role as an extension of the Firm’s business teams.

The successful candidate will be a self-starter, comfortable working in a fast-paced,

entrepreneurial, team-friendly environment with limited day-to-day oversight.

Specific Responsibilities Include

  • Assisting the Chief Legal Officer in the drafting and negotiating of fund

documentation, including private placement memoranda, limited partnership

agreements, subscription agreements, side letters and related legal documents

  • Working closely with the Firm’s investment teams and other stakeholders to

structure, form, launch and maintain the real estate and other alternative investment

funds

  • Providing legal advice and support on a range of issues related to fund formation,

governance, operations, distribution/marketing and investor relations

  • Coordinating with external legal counsel, tax advisors and regulatory consultants as

necessary

  • Managing LPAC activity and meetings for each investment vehicle
  • Managing document filing, organization and access rules in coordination with the

Firm’s Chief Compliance Officer (“CCO”)

  • Assisting the Firm’s business teams in negotiating vendor contracts relating to the

Firm’s business, playing a key risk management role

  • Assisting the Firm’s CCO in monitoring and ensuring regulatory compliance with

applicable laws, regulations, and industry best practices relevant to the Firm’s

business and the business of the Firm’s platforms

  • Managing corporate records, including organizing and updating corporate books,

records and filings, and ensuring compliance with corporate formalities and

regulations

Baseline Requirements

  • Juris Doctor degree from an accredited law school and an active bar membership
  • Minimum of 6 years of experience at an international law firm practicing in the Private

Equity space; additional experience in-house at a multi-national investment

management firm with an emphasis on real estate or private equity fund formation

Preferred

  • Strong analytical, drafting and negotiation skills, together with excellent business

judgment

  • Strong understanding of alternative investment fund structures and related legal

issues

  • Experience navigating foreign laws and regulations in connection with fund formation

and investment activity outside of the United States

  • Experience negotiating fund documentation, including private placement

memoranda, limited partnership agreements, subscription agreements, side letters

and related legal documents

  • Experience serving as a trusted advisor to leadership teams and business partners,

with a proven ability to guide stakeholders through sophisticated legal, risk and

strategic analyses, as well as providing on-the-fly advice to problem-solve in real-

time

  • Commitment to maintaining confidentiality and upholding the highest ethical

standards

Preferred Requirements

  • Experience with real estate investment trusts (REITs)
  • Familiarity with SEC regulations relating to Registered Investment Advisors and

experience with related compliance programs

Anticipated Salary Range (based On Experience)

$300,000 - 400,000.00 inclusive of base pay and bonus (compensation will vary based

on skills, experience, and location)
