Director & Associate General Counsel (Hybrid)

The Director and Associate General Counsel (Hybrid) will join a rapidly evolving healthcare and information technology enterprise and will support the fast-paced, complex, and diverse work handled by the General Counsel’s office. You will work closely with the General Counsel, Deputy General Counsel, Counsel, and other members of Tandigm’s Enterprise Services Department, which includes the Legal, Compliance, Information Security, Privacy, Audit, and Risk (Enterprise and Clinical) functions. You will have an opportunity to learn and grow professionally, be challenged daily, and fulfill an integral role advising Teammates on a wide variety of legal, operational, strategic, employment, and regulatory matters. As Director and Associate General Counsel, you will serve as a critical legal partner and engaged business advisor to support Tandigm’s delivery of cutting-edge healthcare, Population Health Management, Information Technology, Insights, and medical practice management services to a rapidly expanding customer base of new providers, new payors (both health plan and government), new products, new networks, and new markets.
ESSENTIAL FUNCTIONS:
Under the direction of the General Counsel, the Director and Associate General Counsel will:
- Communicate, coordinate, and collaborate with each member of the Enterprise Services Department.
- In conjunction with Tandigm’s Executive Leadership Team, participate in all phases of the Company’s healthcare business, including assigned operational, regulatory, compliance, information technology, and transactional projects, ranging from daily business activities to new business case development, due diligence, definitive agreement drafting, review and negotiation, closing and post-closing activities and collaborating with fellow Tandigm Teammates to design, develop and implement new lines of business.
- Work with clinical, business, operational, and financial leads to draft, review, and negotiate contracts, including contracts related to professional services, software licensing, employment agreements, memoranda of understanding, and many other new customer and third-party vendor agreements.
- Analyze federal, state, and local healthcare laws, rules, and regulations including, for example, the Anti-Kickback Statute, the Civil Monetary Penalties law, the Stark Law, and HIPAA.
- Provide practical legal advice to all functions of the organization to support daily business operations, specifically including Tandigm’s Talent Management (Human Resources) Department.
- Advise senior management in connection with strategic initiatives and priorities through the provision of high-quality legal advice and guidance.
- Proactively identify and evaluate changes in the law that may impact the organization and provide guidance on such changes consistent with Tandigm’s mission, vision, and values.
- Communicate, coordinate, and collaborate with each member of the Compliance Department to provide advice related all regulatory matters, including Medicare Advantage, MSSP, ACO, Medicare Advantage marketing, and other Medicare Advantage guidelines.
- Assist with internal investigations and fact finding when needed.
- Support the work of the General Counsel and the Department of Enterprise Services as a whole.
- Ensure the proper receipt, usage, protection, and disclosure of protected health information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA).
- Perform additional duties as assigned.
Required Qualifications:
EDUCATION:
- Juris Doctorate Degree from an accredited law school, with admission to and member in good standing of the Pennsylvania Bar.
EXPERIENCE:
- Four to ten (4-10) years of practice, preferably with significant large firm experience, and with a primary focus on healthcare law.
- Proven track record of success facilitating progressive organizational change and development within a growing organization.
KNOWLEDGE, SKILLS, ABILITIES:
- Four to ten (4-10) years of practice, preferably with significant large firm experience, and with a primary focus on healthcare law.
- Ability to prioritize, balance, and effectively advance multiple competing priorities in a high-volume, fast-paced environment.
- Ability to interact in a professional and collaborative manner with fellow Tandigm Teammates and the clinicians, patients, and business partners with whom we work.
- Ability and desire to challenge and educate yourself to support and advance Tandigm’s mission to transform healthcare delivery in the markets we serve.
- Excellent judgment and creative problem-solving skills including negotiation and conflict resolution skills.
