Fund Formation Attorney
Our client is a private credit fund in New York City is seeking an experienced Fund Formation Attorney with 5 to 8 years experience. This is an exciting opportunity to play a critical role in the formation, structuring, and operation of private credit funds.
Position Overview: As a Fund Formation Attorney, you will be responsible for providing legal counsel in all aspects of private credit fund formation, including structuring, negotiations, and drafting fund documents. This role requires an in-depth understanding of private fund operations, regulatory compliance, and investment vehicles within the private credit space.
Key Responsibilities:
- Lead the formation and structuring of private credit funds, including negotiating and drafting partnership agreements, offering memoranda, subscription agreements, and related documents.
- Advise on regulatory and compliance matters related to fund formation, securities law, and other relevant regulations.
- Work closely with internal teams (investment, operations, and compliance) and external advisors to ensure alignment on fund structures and strategies.
- Handle fund documentation revisions, amendments, and updates, ensuring compliance with relevant laws and regulations.
- Assist in the negotiation and execution of side letters, co-investment agreements, and other fund-related legal agreements.
- Stay up to date with changes in the legal and regulatory environment affecting private credit funds.
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Admission to the Bar in New York
- 5-8 years of experience in fund formation
Compensation Range: $250,000 to $300,000 plus bonus
