POSITION SUMMARY:

This position will report to the General Counsel and responsibilities will include:

  • Draft, review, and negotiate alongside business personnel a variety of commercial contracts with vendors, third parties, and affiliates (e.g., internal leases, personal service contracts, releases, NDA’s, consulting agreements, software license agreements, etc.).
  • Provide sound, prompt legal guidance to retail entities on consumer matters.
  • Assist with the managing of outside legal counsels for litigation matters.
  • Prepare responses to inquiries from regulatory agencies (AG, BBB, OCCC, DMV) and other applicable parties.
  • Review work product from paralegal and administrative assistant.
  • Maintain corporate records including stock ledgers, certificates, and annual minutes.
  • Assist in various matters from time to time such as M&A and real estate transactions.
  • Remain current on legal and regulatory issues affecting the company and the industry.
  • Become familiarized with, and cross-train on, all department tasks.
  • Perform other duties as assigned by General Counsel.

QUALIFICATIONS & EXPERIENCE:

  • Juris Doctor (JD) degree is required. Must be fully licensed and in good standing to practice law in a particular jurisdiction.
  • Experience in contract drafting and review.
  • Experience in litigation management and/or practice.
  • Prefer (but not required) several years of legal experience within the automotive retail industry (dealership, OEM, or law firm) and a solid understanding of the industry.
  • Work congenially in a fast-paced environment within a small, collegial legal department.
  • Ability to work with minimal administrative support. Not above doing own filing, copying, scanning, etc.
  • Robust knowledge of contractual and corporate law, principles, and best practices.
  • Strong attention to detail.
  • Ability to organize and manage multiple projects and schedules.
  • Flexible and able to adjust priorities and workflow as required.
  • Self-starter with the ability to work independently as well as collaborate as a team member.
  • Excellent communication skills, including strong writing ability.
  • Proficient in Microsoft Office including Outlook, Excel, Word, and PowerPoint.
