Job Summary
Reporting to the President & CEO Americas Division and Group General Counsel and working closely with the divisional management team, the Division General Counsel US will perform a key role in the Division’s management with full responsibility for all transactional matters arising within the Division.
Job Responsibilities
- The Division General Counsel US will function as a senior member of the divisional management team with responsibility for supporting and advising all transactional opportunities for the Division.
- Serve as a member of the Company’s senior leadership team and other management committees.
- Legally support the Division’s and the Company’s growth objectives through advising a range of business and project development activities, including greenfield development, origination, regulatory and legal due diligence, M&A and joint development (all stages, from NDAs, offer letters, legal and regulatory due diligence, Share Purchase Agreements, guarantees, and other transactional documentation) and acquisition and project financing; assist in the evaluation and recommendation of various growth initiatives, including opportunities for US government infrastructure, renewables and transitional technologies incentives (e.g., carbon capture/CCS; tax and production credits, etc.)
- Prepare and oversee lawyers in the negotiation, preparation, implementation and management of project contracts (i.e., PPAs, O&Ms, TSAs, EPCs, etc.).
- Drive the performance against quarterly and annual group objectives, key performance indicators and other performance management metrics.
- Manage cross functional project teams (including internal and external lawyers and other internal corporate services personnel) across transactional matters and projects.
- Ensure compliance with the Company’s internal policies and procedures, including providing support for the Compliance function and its activities as needed.
- Support the Group General Counsel on the reporting of all material matters arising in the Division, including to internal and external stakeholders, management, the Board, and Board Committees.
- Develop and support existing internal processes to improve business results and initiatives to efficiently manage legal resources and outside legal spend.
Qualifications
In addition to a J.D. from a top-tier law school, strong academic credentials, and an active admission to a state bar, the successful candidate will bring the following qualifications:
- Senior, Broad-Based Legal Experience: 10+ years of legal transactional experience from both a top-tier law firm and senior in-house roles at companies of scale, with an ability to work effectively with colleagues across an organization. Broad knowledge across disciplines and diverse legal and compliance experience.
- Transactional background: In dept experience in leading and negotiating complex transactions, such as M&A, project financing or JDA’s, including strong drafting skills.
- Relevant Industry Experience: Experience as a senior legal leader within the renewable energy industry preferred, or if not, another related sector (e.g., energy broadly power, oil and gas). Deep knowledge of the laws, regulations, and challenges facing the industry.
Global Experience: Experience operating in a global company of scale and working with multinational and non co-located teams.
