Coulson Capital is seeking a highly organized and detail-oriented Corporate Attorney to join our legal team. This role will be based in Vancouver, Canada, and will provide critical in-house support to a group of companies with corporate legal matters, including contract management, corporate governance, and legal research. The ideal candidate has strong experience in contract law, and the ability to provide creative and effective legal solutions to support business operations across a group of companies operating in Canada and the United States. Key Responsibilities:

• Contract Drafting and Review: Draft, review, and negotiate contracts and other legal agreements to ensure compliance with applicable laws and company policies. Advise on contract terms and risks to ensure the best interests of the company.
• Corporate Governance: Creation and maintenance of corporate documents in Canada and the United States, including bylaws, board resolutions, and meeting minutes. Ensure compliance with corporate governance standards and regulations. Ensure businesses remain in good standing by filing and keeping track of annual reports and other necessary filings.
• Corporate Filings and Documentation: Manage the preparation and filing of required corporate documents with state and federal agencies. Ensure all necessary corporate records are up-to-date and properly maintained.
• Legal Research: Conduct in-depth legal research on various corporate matters, including regulatory compliance, legal precedents, and best practices. Provide recommendations based on findings to guide business decisions.
• Legal Budget Management: Assist in tracking and managing the corporate legal department’s budget, including the approval of legal expenses and ensuring costs are kept within budget constraints.
• Outside Counsel Liason : Supervise all litigation cases assigned to outside counsel, including managing case budgets and working as a liaison between companies and outside counsel.
• Document Review and Formatting: Review legal documents for accuracy, ensuring proper formatting, compliance, and consistency. Edit documents as necessary to meet legal standards and clarity.
• Advisory Support: Provide legal counsel and guidance on a wide range of corporate matters, including mergers and acquisitions, corporate restructuring, and other business transactions. Help minimize legal risks while supporting company growth.

Qualifications:

• Experience: Experience in corporate law, with a strong background in contract law, corporate governance, and business transactions.
• Education: Juris Doctor (JD) from an accredited law school and an official bar license.
• Skills: Exceptional analytical and problem-solving skills. Strong attention to detail and accuracy in legal documentation. Excellent written and verbal communication skills.
• Technical Proficiency: Familiarity with Microsoft Office Suite (Word, Excel, PowerPoint).
