🔍 Role Overview: We are seeking a Pro Bono Startup and Business Formation Attorney , preferably licensed in Texas , to assist with the legal formation of EarnerTainment Co-op. You will play a key role in filing, structuring, and protecting the company during its critical early stages.

✍️ Key Responsibilities: 1️⃣ Draft and File Articles of Incorporation (Texas) Prepare and submit formation documents aligned with Texas requirements.

2️⃣ Draft the Operating Agreement Create a multi-member operating agreement suitable for a creative cooperative structure.

3️⃣ Prepare Offer Letters for Leadership Draft equity-based offer letters for the founding leadership team.

4️⃣ Advise on Early Compliance and Governance Provide guidance on basic legal compliance, Board structuring, and initial operations setup.

✅ Qualifications: 1️⃣ Licensed to Practice Law in Texas Required to properly draft and file Texas formation documents.

2️⃣ Startup and Business Formation Experience Experience advising entrepreneurs, early-stage companies, or cooperatives.

3️⃣ Familiarity with Cooperative Structures (Preferred) Experience with multi-member businesses, co-ops, or creative collectives is a bonus.

4️⃣ Passion for Empowering Creatives Excited about building opportunities for artists, filmmakers, designers, and innovators.

5️⃣ Commitment to Early-Stage Formation Willing to assist through the completion of our Articles, Operating Agreement, and leadership onboarding.
