Posted Apr 28 A leading motor vehicle company is seeking an experienced Technology Transactions Attorney to be part of their Technology Transactions team within the Office of General Counsel (OGC). In this role you will be working globally as a member of cross-functional project teams and leading technology transactions with third parties, including drafting, reviewing, editing commercial agreements such as MSAs, SOWs, and license agreements. The role requires a unique combination of competency in technology, law, and general business. Buyer-side experience is preferred.

RESPONSIBILITIES:
- Leading various types of transactions (services, hardware, software, data, cloud (SaaS, PaaS, IaaS), telecom) providing customized services for each client.
- Reviewing and negotiating the applicable agreements with third parties and managing risk through effective negotiations.
- Counseling clients on the risks related to various business needs in business or technology terms.
- Consulting with business partners on proposed or completed transactions in order to aid their decision making, and using influence in order to effectively balance client's goals with overall corporate risk management.
- Guiding business colleagues on operationalizing key technology contracts, including processes for governance and ongoing monitoring of and feedback related to supplier performance.
- Managing multiple complex transactions to achieve required deadlines.
- Participating in cross-functional global teams formed to ensure that business objectives and requirements are met with a given transaction.
- Ensuring effective ongoing relationships with third parties with whom there are existing transactions (licenses, agreements, regulatory).
- Participate in third party relationship management activities o Contributing to business-driven supplier management activities (framework, tools, practices, learning resources) o Guiding development of relationships with new suppliers to deliver win-win outcomes supporting long-term technology related strategies
- Continually evolving technical understanding in a legal context in order to provide counsel to clients on newer technologies
REQUIRED SKILLS AND ABILITIES:
- Ability to identify risks and analyze requirements for various technology transactions, tailored to the specifics of the product(s) and/or service(s) being acquired
- Mediation, problem-solving, and communication
- Ability to communicate across various audiences (such as technical and non-technical readers; project teams and leadership)
- Understanding the motivations of each party in a transaction and translating that into win-win solutions.
- Ability to manage multiple projects simultaneously
- Flexibility and creativity in finding win-win solutions in negotiations and with contract terms

- Drive to proactively manage third party vendor issues/relationships
EXPERIENCE:
- At least 5 years’ experience drafting and negotiating technology contracts, preferably on the procurement (buy)-side
- Demonstrated experience servicing clients in various roles throughout the business (such as IT, business)
- Experience communicating legal risk associated with technology-related business activities
- Experience with management of cross functional /multi-departmental global projects as well as working effectively with multiple perspectives, cultures, geographies
- Information technology industry experience sufficient to understand the technical requirements, technology products/services in the transaction at hand, and assess risks accordingly
- Demonstrated experience managing relationships with third party technology vendors
- Demonstrated public speaking and presentation skills
