Position Summary and Responsibilities
As a key member of the Legal Team, the Senior Director, Commercial + Corporate Counsel (“Senior Director, C+C”) for Mavis Tire Express Services Corp. (the “Company” or “Mavis”) is primarily responsible for supporting the Company’s commercial matters. With a focus on drafting, structuring, reviewing, and negotiating a wide range of commercial contracts and related agreements, the Senior Director, C+C will also provide critical legal support to the Company’s franchise business, which currently accounts for approximately 1,200 of the Company’s 3,500 retail locations across the United States and Canada.
Qualifications
Minimum Qualifications:
- Legally authorized to work in the United States.
- J.D. degree (or foreign equivalent) and membership (in good standing) in at least one U.S. state bar.
- 7+ years of focused professional experience in commercial and transactional legal matters, including within the franchise sector.
- Ability to think through complex legal problems and respond quickly to business stakeholders.
- Demonstrated experience in managing outside counsel.
- Proven ability to design and implement legal processes and manage comprehensive contract databases.
- Ability to work in a demanding, fast-paced and entrepreneurial environment both independently and as part of a collaborative team.
- Demonstrated ability to manage a workload independently within a lean legal team, handling matters from start to finish without extensive delegation to paralegals or support staff.
- Strong verbal and written communication, negotiation and interpersonal skills.
Essential Functions of the Position
The Senior Director, C+C is required to:
- Support business teams in structuring, drafting, negotiating, and reviewing various transactional documents, including vendor agreements, service contracts, supplier agreements, statements of work, and other commercial instruments.
- Develop, implement, refine, and manage standard templates for the Company’s business, including standard commercial contracts, nondisclosure agreements, and consulting agreements.
- Establish, iterate and maintain internal Standard Operating Procedures for contract review and management to enhance compliance, efficiency and consistency.
- Create and maintain a centralized contract database to ensure easy access, tracking, and compliance.
- Provide comprehensive legal guidance and support to the Company’s franchise operations, including the preparation and updating of franchise disclosure documents and state franchise registration and exempt filings, managing franchise default notices and resolutions, interpreting franchise agreements, assisting with franchise compliance matters, overseeing timely tenders, and supporting franchise development as needed.
- Identify and mitigate legal risks associated with commercial transactions and franchise operations.
- Oversee and coordinate with outside law firms when necessary.
- Perform other related duties as assigned.
