Job Description

Under the direction of the Senior Vice President of Supply Chain, provides legal guidance on procurement contracts, supply chain agreements, vendor negotiations, service level agreements ensuring compliance with federal and state laws. Monitors and interprets evolving legal and regulatory requirements affecting healthcare procurement, including FDA regulations, HIPAA, and CMS guidelines; and implements procurement policies that comply with hospital accreditation standards (e.g., Joint Commission, DNV) and other industry best practices.

Essential Duties And Responsibilities

Strategic procurement Support

  • Advise executive leadership on procurement-related legal matters and risk management strategies.
  • Support hospital leadership in negotiating high-value procurement deals, capital equipment acquisitions, and strategic partnerships.
  • Work closely with pharmacy, medical device procurement, and IT departments to ensure compliance with applicable legal standards and hospital policies.

Contract Review and Negotiation

  • Supervise a team of attorneys who draft and negotiate procurement contracts, vendor agreements, and managed services agreements to ensure favorable terms for the health system
  • Oversee a system for reviewing and ensuring overall quality assurance for such agreements
  • Draft, review, and negotiate high priority procurement contracts, vendor agreements, and managed services agreements to ensure favorable terms for the health system.
  • Ensure contracts contain appropriate terms and conditions regarding pricing, warranties, liability, indemnification, and dispute resolution.
  • Collaborate with procurement, finance, and operations teams to align contract terms with business objectives.
  • Establish and disseminate to legal team standard contract templates and procedures to streamline the procurement process while maintaining legal protections.

Risk Management and Dispute Resolution

  • Collaborate with supply chain leaders and key stakeholders to optimize contract terms and mitigate financial and legal risks.
  • Identify potential legal risks associated with procurement transactions and develop risk mitigation strategies
  • Handle vendor disputes, contract breaches, and support procurement-related litigation in coordination with the Office of the General Counsel
  • Conduct training for procurement and legal teams on contract management, compliance obligations, and risk mitigation.

Review all Board material including all materials (i.e., contracts, policies) to be presented to the board. Attend all Board meetings and liaison with the board on all Supply Chain issues. Counsel on any procurement matters that require board approval. Oversee all board approval processes ensuring compliance with policy

Oversee the drafting of various purchase agreements including master purchase agreements, professional and clinical service agreements, managed service agreements, clinical and non-clinical staffing arrangements, complex goods and purchases that include system-wide impact, IT agreements that include complex implementations, PHI and cloud services

Collaborate with internal stakeholders at all stages of procurement and contract life-cycle, including: assisting with appropriate scope of a procurement, issuing procurements and managing legal aspects of a procurement, contracting to ensure that the scope and deliverables align, ensuring stakeholders are properly informed about risks and decision points, assisting with early phases of complex contractual strategic partnership agreements, and managing dispute resolution both internally and externally

Communicate and manage priorities at all levels of the System, including working with our C-suite; communicate with external entities; stay abreast of developments in the industry, attending seminars and conferences, and incorporate such practices and developments as appropriate into Supply Chain Services legal practices.

Conduct research, drafting policies, assisting with audits, conducting litigation management, developing, revising and managing template libraries, and developing standard processes within Supply Chain Services.

Manage a team of Supply Chain Legal staff, assigning work and ensuring that they are meeting all of the System’s contracting requirements and effectively managing and communicating their work and priorities.

Minimum Qualifications

  • J.D. from an accredited law school
  • Admission to the New York State Bar
  • Ten (10) years of relevant, responsible experience in the practice of law subsequent to admission to the Bar, or
  • Fifteen (15) years of relevant experience in the practice of law with ten (10) years of progressively responsible experience in a professional or managerial capacity.
