We are seeking a detail-oriented and business-savvy Transactional Attorney to join our legal team. This role is responsible for managing the end-to-end lifecycle of a variety of types of transactions, ensuring compliance with applicable laws and company policies while supporting business objectives. The ideal candidate will have strong drafting, negotiation, and analytical skills, with the ability to work efficiently and collaboratively with internal clients and outside counsel as needed.

  • Provide comprehensive legal advice on a variety of types of transactions, working primarily independently. Examples include:
    • Commercial contracts such as:
      • Consulting and other professional services;
      • Software license / SaaS / cloud subscriptions;
      • Data use and data sharing;
      • Business process outsourcing; and
      • Suppliers of products and services we offer to our members.
    • M&A activity such as formation of joint ventures, acquisitions, and divestitures.
    • Support for corporate treasury and banking functions.
    • Strategic investments.
    • Healthcare provider and customer agreements.
    • Experience with industry-specific topics (e.g., business associate agreements) a plus.
  • Manage contract process from intake through execution, ensuring timely turnaround and alignment with business priorities.
  • Advise internal stakeholders on contractual rights, obligations, and risk mitigation strategies.
  • Collaborate cross-functionally with subject-matter experts (e.g., finance, tax, audit, privacy, security, regulatory) and operational teams to support business initiatives.
  • Maintain contract templates, suggesting updates to reflect changes in laws and industry best practices.
  • Support contract management systems and assist in implementing process improvements for efficiency and scalability.
  • Support company regulatory filings as needed.
  • Perform legal research as needed.
  • Work with other members of the legal department on special projects and initiatives.
  • Other duties as assigned.
  • Juris Doctor (JD) degree from an accredited law school; licensed to practice law in PA.
  • 3+ years of relevant experience required. Title and salary commensurate with experience.
  • Strong knowledge of contract law, commercial transactions, and risk management principles.
  • Excellent drafting and negotiation skills, with attention to detail and ability to balance legal and business considerations.
  • Ability to proactively and independently manage projects and balance multiple priorities effectively.
  • Strong interpersonal and communication skills for effective stakeholder engagement.
  • Ability to maintain confidentiality, and to exercise discretion and good judgment.
  • Proficient with Adobe Acrobat and MS Office Suite, including Outlook, Word, Excel, Teams, SharePoint

Independence has implemented a “Hybrid” model which consists of Associates working in the office 3 days a week (Tuesday, Wednesday & Thursday) and remotely 2 days a week (Monday & Friday). This role is designated as a role that fits into the “Hybrid” model. While associates may work remotely on our designated remote days, the work must be performed in the Tri-State Area of Delaware, New Jersey, or Pennsylvania
