Counsel, Corporate We are looking for a Corporate Counsel who is a lifelong learner to join our dynamic corporate legal team. The ideal candidate will have a strong foundation in securities, corporate governance and strategic transactions, and an interest in further broadening their practice. This is a rare opportunity for a thoughtful, pragmatic, and collaborative attorney with strong business instincts who is interested in learning about innovative edge cloud technologies. This position will be based in San Francisco, and will report to our Director and Assistant General Counsel, Corporate, who is based in San Francisco.

What You'll Do:

  • Assist with SEC and Nasdaq compliance (‘33 Act, ‘34 Act and Section 16 filings), and annual stockholder meetings
  • Support all corporate governance matters, including Board and Committee matters, global subsidiary management, and policies
  • Assist with securities offerings, financings, M&A and other strategic transactions
  • Work closely with the Finance organization on equity matters, including equity plans, 10b5-1 trading plans, insider trading policies and compensation issues
  • Provide support and guidance on other matters such as treasury matters, financial compliance, external communications, investor relations and sustainability reporting

What We're Looking For:

  • BA/BS and JD from respected institutions
  • Member of the California Bar in good standing
  • Three to five years of experience working on public company corporate governance, securities law and M&A matters, with at least two years of experience with a respected law firm, ideally with in-house experience
  • A high level of initiative and ability to be responsive and flexible in a fast-paced environment
  • A collaborative team-player with a high level of discretion and confidentiality
  • Ability to build and maintain strong collaborative relationships with business partners and push projects to completion
  • Interest and comfort in working outside areas of legal expertise
  • Curiosity about how the internet really works
  • Strong “plain English” written and verbal communication, excellent analytical and project management skills, and attention to detail

Work Hours:

  • This position will require you to be available during core business hours.

Salary: The estimated salary range for this position is $195,720.00 - $234,864.00. Starting salary may vary based on permissible, non-discriminatory factors such as experience, skills, qualifications, and location.

This role may be eligible to participate in Fastly’s equity and discretionary bonus programs.
