Primary Purpose

The VP and General Counsel, ComEd, serves as the primary legal advisor to ComEd’s senior management with respect to all legal and claims matters. The VP and General Counsel, ComEd sets the legal and claims strategy for ComEd; oversees legal and claims issues for the company; provides reporting to COMED's Board of Directors; oversees all COMED claims activities, including general liability, insurance, claims management, litigation, claims research, analysis and trending; and oversees all COMED real estate legal matters and regulatory litigation, including ratemaking, rulemaking, evidentiary and appellate proceedings before administrative bodies and state and federal courts. The VP and General Counsel, COMED, manages the COMED Legal team and the COMED Claims team and reports to Exelon's Chief Legal Officer with dotted-line reporting to the CEO of COMED. Note: Position may be required to work extended hours, including 24x7 coverage during storms or other energy delivery emergencies.

Primary Duties

1 Oversee and provide strategic counsel and legal services for high-level, complex legal and claims

matters at COMED, including representing the company for ratemaking rulemaking, regulatory

litigation, claims litigation, and evidentiary and appellate proceedings before administrative bodies

and state and federal courts, as well as real estate matters.

2 Provide advice and counsel to senior leadership on all COMED Legal and Claims matters.

3 Provide leadership for and manage all COMED lawyers, claims professionals, and legal

professionals.

4 Overall responsibility for coordinating all activities of COMED Legal and Claims

5 Develop and implement a vision and strategy for legal and claims practice areas.

6 Manage COMED Legal and Claims resources, including by managing outside counsel and other

expenditures.

7 Participate as member of Legal Council to set objectives, policies and procedures, review

performance, and otherwise support management of the Exelon legal and claims functions.

Job Scope

The VP provides: (i) vision and strategy for the legal and claims functions; (ii) legal and claims-related advice and counsel to COMED’s senior management; (iii) leadership and management of legal and claims professionals; (iv) legal services on regulatory issues and proceedings and other high-level or complex matters; and (v) allocation of legal and claims resources and management of the legal and claims budgets.

Minimum Qualifications

An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions

  • At least 15 years of professional legal experience, including knowledge/experience in administrative law, regulatory processes, rate cases and cost-recovery mechanisms and compliance programs
  • Strong managerial and leadership skills sufficient to lead and motivate a diverse professional workforce
  • Superior legal, regulatory, and strategic judgment
  • Advanced oral and written presentation skills and ability to interpret and clearly convey complex information
  • Ability to address challenging legal and regulatory issues, managing competing interests and provide counsel to senior management
  • Ability to address challenging legal and claims issues and provide counsel to the COMED CEO, senior management and Board of Directors
  • Ability to achieve business objectives while managing various stakeholder agendas

Preferred Qualifications

Extensive working knowledge of the electric and gas business in general and Exelon and COMED’s business in particular.
