About The Role

We are seeking a talented and dynamic Commercial Counsel to join our legal team. You will play a crucial role in supporting our rapidly scaling clinical sales team in scoping, negotiating, and closing deals. Working with cutting-edge AI-first healthtech products—including Ambient AI, Revenue Cycle Management (RCM), and Electronic Health Records (EHRs)—built by top engineers and deployed across the country, you will engage deeply with our products and help drive our growth.

Our ideal candidate will be responsible for providing legal guidance and support on a wide range of commercial matters, including contracts, partnerships, products and compliance. As a key member of our team, you will work closely with various departments to ensure that our business operations are aligned with our strategic goals.

_Preferred hybrid in office at our Mtn. View, CA office, but we are open to remote candidates with the right skill set.

_ What You'll Do

  • Review, negotiate, and draft a variety of commercial agreements, including vendor contracts, customer agreements, partnership agreements, and licensing agreements
  • Provide proactive legal advice to internal stakeholders on commercial matters, risk management, and compliance issues
  • Ensure that Commure’s commercial practices comply with relevant laws and regulations, including HIPAA, data privacy, intellectual property, and industry-specific regulations
  • Assist in the development and implementation of company policies and procedures to mitigate legal risks and ensure compliance with applicable laws
  • Collaborate with other departments, including sales, marketing, and product development, to support business objectives and address legal challenges
  • Partner closely with the clinical sales team to understand client needs, tailor agreements accordingly, and facilitate smooth deal closures.
  • Work intimately with our AI-first healthtech products to fully understand their capabilities, risks, and legal implications, ensuring accurate representation in contracts.
  • Proactively identify potential legal risks in deals and provide strategic solutions to mitigate them.
  • Develop and refine internal policies and templates to streamline the contracting process and reduce negotiation cycles.
  • Work seamlessly with product, engineering, finance, and marketing teams to align legal strategies with business goals.

What You Have

  • Juris Doctor (JD) from an accredited law school.
  • Admitted to practice law in a U.S. state or eligible to obtain such admission.
  • Minimum of 4+ years in a dealmaking legal role within the technology or healthcare industry, with a strong focus on commercial transactions.
  • Strong experience negotiating and closing complex licensing and SaaS deals, preferably with healthcare providers and technology partners.
  • Ability to analyze the financial implications of legal agreements.
  • Familiarity with AI technologies, healthtech solutions like Ambient AI, RCM, Scribe AI, and EHR systems.
  • Demonstrated ability to work effectively with sales teams, providing legal guidance that supports business objectives.
  • Capacity to align legal strategies with overall business goals, contributing to growth and competitive advantage.
  • Excellent written and verbal communication skills, adept at conveying complex legal concepts to diverse audiences.
  • Strong analytical skills with a proactive approach to identifying issues and developing effective solutions.
  • Ability to manage multiple projects simultaneously, prioritize tasks, and meet tight deadlines in a fast-paced environment.
  • Team-oriented mindset with experience working in cross-functional teams to achieve common goals.
  • Agile and flexible in adapting to new challenges, technologies, and regulatory environments.
  • Ability to adapt to legal technology tools quickly, including CLM, automation and optimization of legal workflow. (Technical skills a plus)
