The Attorney is expected to be a “trusted counsellor” to management on legal, ethics and business issues. The Attorney will be in a generalist role with a commercial focus and will have responsibility for contracts, marketing, labor and employment, regulatory compliance, litigation, ethics administration and other legal matters.
Areas of Responsibilities:
- Provide legal counseling on the following broad areas of expertise: Corporate and M&A, Contracts & Commercial, Labor & Employment, Regulatory and Government, Marketing Law, Litigation Management, Risk Awareness, Intellectual Property, and Ethics & Compliance.
- Must possess a clear understanding of applicable laws, regulations and Company policies as well as a solid understanding of the bottling business to be able to anticipate legal issues and provide solutions consistent with business objectives.
- Independently negotiate, draft, and/or revise all manner of corporate and commercial agreements (e.g., customer, vendor, or system) and other legal documents.
- The OU Attorney needs to ensure that transactional and general commercial documents address business goals and protect the Company’s interests.
- Help manage the relation with and supervise the work done by outside counsel where required and make strategic decisions regarding the conduct of legal proceedings (e.g., litigation, regulatory, or alternative dispute resolution). A key component of this is to ensure that Company resources are deployed efficiently with a view to reaching the best possible outcome the Company without compromising governance and risk-management standards and expectations
- Ensure compliance with ethics governance standards and policies. This includes serving as an Ethics Officer and administering compliance with our Code of Ethics and other compliance policies.
- Review and approve marketing and sales materials for compliance issues, including point of sale, coupons, on-air, online and out of home media, sweepstakes and promotions.
- Provide extensive support for mergers, acquisitions, divestitures, joint ventures, and other strategic transactions. Coordinate legal due diligence across relevant workstreams to identify risks and liabilities, advise business leaders on transaction strategy and legal exposure, and draft and negotiate key transaction documents.
- Partner cross-functionally and manage outside counsel to support execution, closing, and post-integration activities aligned with governance and risk standards.
- Assist with preparing agendas, briefing materials, minutes, and resolutions for board and committee meetings as needed. Maintain corporate records, minute books, and governance documents.
Education and Experience:
Required:
- Juris Doctorate
- 5 -8 years’ work experience as an in-house or law firm for companies in the consumer goods industry preferred.
