Job Summary

Support Houston business groups and overseas BUs on international operations and projects, global new ventures, emerging businesses, acquisitions and divestments.

Position Overview

Your responsibilities may include:

  • Support exploration and new ventures projects, including New Country Entries and counterparty due diligence
  • Structure, negotiate and draft agreements, including confidentiality agreements, letters of intent, MOUs, joint operating agreements, host country/ production sharing agreements, , and other legal instruments on commercial and operational matters for new ventures
  • Structure ownership and incorporate entities locally and in international jurisdictions
  • Support emerging businesses on operational and administrative matters arising from daily operations including contractual, real state acquisition, regulatory, and compliance matters
  • Support the company’s representatives in joint ventures, including JV committees and additional projects, including oil and gas and LNG plant based projects
  • Identify, evaluate, and address legal risk in international jurisdictions
  • Preparing research memos on international law matters
  • Participate in legal collaboration to provide support to business functions
  • Liaise with external legal counsel as needed on legal issues
  • Support Litigation & Arbitration group in disputes involving the assigned matters and projects
  • Advise on wind-down, de-registration, and liquidation of project companies for former overseas assets
  • Help in other functions’ training in the areas related to advised areas
  • Support the preparation and application of company’s policies regarding the above-mentioned matters and assist in development of local compliance programs where needed and consistent with Global Compliance policies, including periodic training of staff

Basic/Required:

  • Legally authorized to work in the United States
  • Juris Doctorate from a law school accredited by the American Bar Association, or any other accredited international law school
  • 10 or more years of experience with a common law and/or civil law jurisdiction
  • Intermediate knowledge of legal research skills, business judgment and commercial issues
  • Intermediate knowledge of upstream oil & gas contracts
  • Willing and able (with or without reasonable accommodations) to travel domestically or internationally, 15% of the time on a yearly basis

Preferred:

  • Admission to the Bar of the State of Texas or other appropriate US and/or international jurisdiction
  • 5 or more years of project finance, capital markets and new investment experience
  • Intermediate knowledge of LNG projects
  • Intermediate knowledge of US and/or International contracts review, drafting and interpretations, support and guidance in assets' management
  • Intermediate knowledge of US and/or international on legal matters related to new country entry, setting up the entities to make investments, review and drafting of farm-in, licenses, JOAs and other transactional documents
  • Enthusiasm for challenging overseas projects, geo-politics, learning new skills and environments
  • Ability to lead and be a team player in multi-functional teams
  • Excellent interpersonal and communication skills (written and oral)
  • Interest and aptitude in foreign languages a plus but not required
