SUMMARY OF THE JOB:

The Staff Attorney supports the Office of the General Counsel and all lines of business across Liberty Bank. Reporting directly to the Associate General Counsel, this role provides strategic, practical, and risk-based legal support and guidance that ensures regulatory compliance, protects the Bank’s interests, and advances business objectives.

The successful candidate will assist in identifying legal and regulatory risks, provide support in counseling and resolution of complex matters, and contribute to a culture of integrity, strong governance, and responsible growth. This position plays a key role in ensuring the Bank operates within applicable laws and regulations while enabling innovation and strategic development.

ESSENTIAL FUNCTIONS:

  • Provide effective legal support to the Office of the General Counsel.
  • Assist in developing and updating internal governance policies and assessing the impact of external factors.
  • Assist in analyzing the legal and operational impacts of proposed decisions or actions.
  • Monitor and summarize emerging legal and regulatory developments affecting the banking industry.
  • Proactively identify, assess, and support the mitigation of legal, regulatory, operational, and reputational risks.
  • Uphold the highest standards of ethics, professionalism, and integrity in all matters.
  • Build collaborative relationships with internal stakeholders and effectively communicate complex legal concepts to non-legal audiences.
  • Support communications and interactions with external parties (regulators, external counsel, customers).
  • Draft, review, and assist in negotiating contracts and legal documents to protect the Bank’s interests and ensure compliance.
  • Advise retail team members on fiduciary matters, including review of estate documents, powers of attorney, trust related materials, conservatorships, and other probate related inquiries. Assist with complex, cross-functional legal matters involving risk, operations, retail, human resources and lending.

Minimum knowledge/skills:

  • Juris Doctor (J.D.) degree from an accredited law school by start date.
  • Master of Business Administration (M.B.A.) or relevant postgraduate degree or certification is a plus.
  • Active license to practice law and in good standing, or eligibility for admission to practice law within a reasonable time after hire.
  • Minimum of 2-5 years of legal experience in a law firm, court setting, financial institution, or corporate legal department.
  • Demonstrated experience or exposure in areas such as banking law, corporate governance, commercial contracts, real estate, employment law, probate law, regulatory compliance, or litigation support.
  • Exposure to mergers and acquisitions, including due diligence, regulatory filings, purchase agreements and post-closing integration is a plus.
