The Counsel, Legal & Regulatory will support the Company’s growth by assisting with a wide range of legal, regulatory, compliance, corporate governance, and commercial contracting matters. This role provides day‑to‑day support to senior attorneys, helps manage regulatory obligations, contributes to public policy and industry engagement, and collaborates with business teams across the enterprise. The attorney will gain exposure to diverse in‑house practice areas while developing deeper expertise in insurance regulatory and compliance functions.
Key Responsibilities
- Draft, review, and negotiate commercial agreements under the guidance of senior attorneys, including distribution agreements, reinsurance agreements, trust agreements, NDAs, and amendments.
- Prepare corporate documents and assist with governance processes.
- Provide legal counsel on regulatory compliance, investigations, and enforcement matters.
- Serve as the primary point of contact for state Departments of Insurance and other regulatory agencies.
- Lead and coordinate regulatory examinations, inquiries, and responses to information requests.
- Prepare, review, and manage filings for regulatory approvals, including dividends, affiliate transactions, and intercompany agreements.
- Support corporate transactions such as mergers, acquisitions, and restructurings that require regulatory review (including Form A and Form D filings).
- Ensure timely and accurate completion of holding company filings and ongoing regulatory obligations.
- Conduct legal research on agent and entity licensing, regulatory requirements, and emerging regulatory developments.
- Monitor changes in laws and regulations and advise senior leadership on potential impacts.
- Collaborate with compliance, finance, and business teams to align regulatory requirements with operational goals.
- Support senior attorneys on special projects, cross‑functional initiatives, and enterprise priorities.

_ Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 5+ years of legal experience, with a focus on regulatory or insurance law preferred.
- Knowledge of state insurance regulations and regulatory frameworks preferred.
- Experience working with regulatory agencies and managing examinations or filings.
- Experience with commercial contracting or corporate transactions.
- Strong research, drafting, and analytical skills with the ability to translate complex issues into practical guidance.
- Excellent analytical, communication, and organizational skills.
- Ability to manage multiple priorities, work independently, and collaborate effectively with cross‑functional teams.
