Position Overview
Emser Tile is seeking a seasoned Hybrid General Counsel / Vice President of Human Resources to provide enterprise-wide leadership across the company’s legal, human resources, compliance, and risk management functions. As a member of the executive leadership team, this role will serve as both the company’s senior legal advisor and strategic HR leader, ensuring that business decisions are supported by sound legal judgment, practical risk assessment, and effective people strategies.
This hybrid role requires a commercially minded attorney and experienced HR executive who can operate as a trusted business advisor to ownership, executive leadership, and functional leaders. The successful candidate will oversee legal matters, employment law compliance, contract management, corporate governance support, employee relations, talent strategy, and the development of scalable policies and processes that support the company’s growth and operational objectives.
Primary Responsibilities
- Serve as the company’s senior legal advisor, providing practical legal guidance to executive leadership on business strategy, risk management, compliance, transactions, contracts, employment matters, and operational initiatives.
- Lead and manage the company’s contract management function, including review, negotiation, drafting, approval processes, standard templates, vendor and customer agreements, leases, service agreements, confidentiality agreements, and other commercial contracts.
- Function as a business advisor by helping leadership evaluate legal and commercial risks, structure practical solutions, and make informed decisions that support growth, profitability, operational efficiency, and long-term enterprise value.
- Oversee legal risk management, including coordination with outside counsel, litigation management, dispute resolution, claims oversight, regulatory matters, and development of proactive risk mitigation strategies.
- Lead and support negotiation of insurance renewals, including working with brokers, carriers, finance, and executive leadership to evaluate coverage, pricing, risk exposure, claims history, and policy terms across the company’s insurance portfolio.
- Support corporate governance matters, including board and ownership communications, entity compliance, policy governance, approval protocols, and documentation of key corporate decisions.
- Advise executive leadership on organizational design, workforce planning, talent management, change management initiatives, succession planning, and employment-related risk.
- Provide oversight of talent acquisition, succession planning, leadership development, and employee engagement strategies
- Direct employee relations practices, ensuring consistency, fairness, and adherence to company policies and legal requirements
- Ensure compliance with applicable federal, state, and local employment laws, commercial legal requirements, data privacy considerations, internal policies, and regulatory obligations, with a strong emphasis on risk management and mitigation.
- Develop, implement, and maintain company policies, procedures, and approval workflows that balance business practicality, legal protection, employee experience, and operational consistency.
- Partner with leaders across the business, including sales, operations, finance, procurement, real estate, and other functions to provide legal and HR guidance on commercial arrangements, workforce issues, organizational priorities, and risk-sensitive decisions.
- Oversee the design and administration of compensation, benefits, and performance management programs to ensure competitiveness and alignment with market standards
- Lead culture initiatives to support a high-performing and inclusive workforce
- Drive continuous improvement of HR systems, policies, and processes to enhance efficiency, scalability, and data integrity
- Develop and manage HR metrics and analytics to inform strategic decision-making
- Provide leadership, direction, and development to the Human Resources team, fostering a culture of accountability and operational excellence
Qualifications
- Juris Doctor (JD) from an accredited law school required; active license to practice law in good standing required.
- Bachelor’s degree required; advanced business, finance, or HR-related education preferred.
- Minimum of 15 years of progressive legal, human resources, employment law, compliance, or business advisory experience, including significant executive-level responsibility.
- Prior experience as General Counsel, Deputy General Counsel, senior in-house counsel, or a senior legal leader with substantial HR leadership exposure strongly preferred.
- Strong experience with commercial contracts, contract lifecycle management, vendor and customer agreements, employment law, regulatory compliance, litigation management, and practical business risk assessment.
- Demonstrated ability to balance legal protection with business practicality, providing clear recommendations that enable informed decision-making rather than simply identifying risk.
- Experience managing outside counsel, legal budgets, internal approval processes, policy governance, and cross-functional legal workflows.
- Demonstrated ability to influence executive leadership and contribute to strategic business outcomes across legal, HR, operational, and commercial matters.
- Strong leadership, communication, and stakeholder management capabilities
- Experience within manufacturing, distribution, or a related industry preferred
