Overview Whistler Partners is working with a fast-growing healthtech company looking to add a Commercial Counsel to its legal team. This will be the company’s second legal hire and a highly cross-functional seat. The role will own day-to-day commercial legal work across brand partnerships, vendor agreements, privacy, marketing review, and the legal infrastructure needed to support a quickly scaling business. The company sits at the intersection of healthcare, payments, consumer wellness, and regulated technology. The right lawyer will be commercially minded, practical, and comfortable helping fast-moving teams get deals done while keeping the business protected.

Why This Role? This is not a contract queue role.

The company needs a lawyer who can sit close to Sales, GTM, Marketing, Product, the General Counsel, and leadership, and help the business move faster with better judgment. That means drafting and negotiating the agreements that drive revenue, building practical marketing and privacy guardrails, and creating systems that allow a lean legal team to support a company much larger than itself. The work is broad in the right way: commercial contracts, partner agreements, privacy, marketing and advertising review, vendor management, healthcare adjacent issues, payments-related questions, and legal operations. For a 3–6 year lawyer who wants a true business-facing role at a mission-driven healthtech company, this is a very strong seat. You will not just review paper. You will help shape how the company sells, partners, protects users, and scales.

Key Responsibilities

  • Own day-to-day commercial legal work across the company.
  • Draft, negotiate, and close brand agreements, partnership contracts, practitioner and provider agreements, vendor and SaaS agreements, NDAs, DPAs, and BAAs.
  • Partner closely with Sales, GTM, Marketing, Customer Success, the General Counsel, and company leadership.
  • Structure commercial and co-marketing terms for a B2B2C business model.
  • Review marketing and advertising materials across channels, including claims, substantiation, promotions, affiliate arrangements, influencer arrangements, and partner-facing materials.
  • Build practical marketing guidelines that help teams move quickly within clear guardrails.
  • Support the company’s privacy program, including policies, data protection agreements, vendor diligence, and practical privacy counseling.
  • Advise on state privacy laws, health data issues, and related regulatory considerations.
  • Work with outside counsel on specialized healthcare, payments, tax, and regulatory questions.
  • Build templates, playbooks, self-serve resources, intake processes, and legal operations systems.
  • Help a lean legal team support a fast-growing business with speed and discipline.

About You

  • J.D. and active bar membership in good standing.
  • 3–6 years of legal experience.
  • Meaningful transactional experience and strong commercial drafting and negotiation skills.
  • Law firm and in-house experience preferred.
  • Prior experience in healthcare, fintech, payments, healthtech, marketplace, or another regulated industry preferred.
  • Comfort being the only lawyer on a business call.
  • Working familiarity with U.S. health privacy laws, state privacy statutes, and FTC-related issues.
  • HIPAA familiarity is a plus, but not required.
  • Experience reviewing marketing, advertising, claims, substantiation, promotions, affiliate, or influencer materials preferred.
  • Ability to give clear, practical advice with imperfect information.
  • Commercial mindset and strong plain-English communication skills.
  • Low ego, high output, and comfortable building the playbook instead of inheriting one.
  • Interest in mission-driven work tied to healthcare, prevention, consumer wellness, and regulated technology.
