Key Responsibilities

• Provide legal support and strategic counsel on a broad range of corporate, securities and corporate governance matters, including M&A transactions, minority investments, joint ventures, SPAC IPOs and SPAC business combinations.


• Draft, review, and negotiate transaction documents related to:

  • Mergers and acquisitions
  • Joint ventures and strategic investments
  • Securities purchase agreements and related corporate transactions
  • SPAC Initial Public Offerings (IPOs)
  • SPAC business combinations
  • Private investment in public equity transactions


• Lead and manage legal due diligence efforts in connection with M&A transactions, strategic investments and SPAC business combinations.

• Review and analyze corporate records, contracts, financial disclosures, regulatory filings, and other transaction-related materials to identify legal and business risks.

• Advise business leaders, investment bankers, and transaction teams on corporate law, securities law, corporate governance, disclosure obligations, and transactional risk.

• Support the preparation and review of registration statements, prospectuses, proxy statements, SEC filings, and other public company disclosures for SPACs and SPAC business combinations.

• Partner with internal stakeholders across Compliance, Risk, Finance, Operations and Investment Banking to facilitate transaction execution and ensure regulatory compliance.

• Manage outside counsel and coordinate cross-functional transaction teams on complex and time-sensitive matters.

• Monitor legal and regulatory developments affecting corporate transactions and capital markets activities.

• Assist with the development and implementation of legal policies, procedures, and best practices related to M&A, securities and corporate governance matters.


Qualifications

J.D. from an accredited law school.

Admission to practice law in at least one U.S. jurisdiction.

Approximately 3-7 years of relevant legal experience at a leading law firm and/or financial institution.

Significant experience advising on:

  • Mergers and acquisitions
  • Securities offerings
  • Capital markets transactions
  • Corporate governance matters


Strong due diligence experience, including leading and managing legal diligence reviews for acquisitions, IPOs, and/or other strategic transactions.

Working knowledge of federal securities laws, SEC regulations, stock exchange requirements, and public company reporting obligations.

Excellent drafting, negotiation, analytical, and issue-spotting skills.

Ability to manage multiple transactions simultaneously while meeting tight deadlines.

Strong business judgment and the ability to provide practical, solution-oriented legal advice.


Preferred Qualifications

• Experience representing investment banks, broker-dealers, issuers, private equity sponsors, or public companies.

• Hands-on experience with public and private securities offerings and corporate governance matters

• Deep understanding of M&A transaction structures, diligence processes, and deal execution.

• Familiarity with SEC reporting requirements, including Forms 10-K, 10-Q, 8-K, S-1, S-4 and proxy statements.

• Experience working directly with senior business leaders and transaction professionals in a fast-paced financial services environment.

• Background supporting cross-border transactions is a plus.
