Role Description. The Corporate Counsel role is a full-time, on-site position based in the United States. The Corporate Counsel will provide legal advice and support on a broad range of banking and corporate matters, including contracts, regulatory compliance, corporate governance, and risk management. Daily responsibilities may include drafting, reviewing, and negotiating agreements; advising business units on legal risks; supporting responses to regulatory inquiries; and collaborating with internal stakeholders to develop compliant policies and procedures. The role will also involve monitoring relevant laws and regulations, assisting with corporate transactions, and coordinating with external counsel as needed. This position requires strong judgment, attention to detail, and the ability to communicate complex legal concepts clearly to non-legal partners.
Qualifications
- At least 5 years of experience in banking, financial services, or corporate law, including regulatory compliance, contracts, and corporate governance.
- Demonstrated ability to draft, review, and negotiate complex legal documents and commercial agreements.
- Skill in legal research, risk assessment, and providing practical, business-oriented legal advice.
- Excellent written and verbal communication skills, with the ability to explain legal issues clearly to diverse stakeholders.
- Proven collaboration skills, including working cross-functionally with business, risk, compliance, and executive leadership teams.
- Juris Doctor (JD) degree from an accredited law school and active license to practice law in at least one U.S. jurisdiction.
- Experience in a corporate legal department or law firm advising financial institutions is strongly preferred.
