Position Overview:
We are seeking a highly organized and proactive Corporate Paralegal & Legal Operations Specialist to support a dynamic in-house legal team. This role will provide legal and operational support across mergers and acquisitions, litigation management, contract administration, legal document management, and corporate governance initiatives. The ideal candidate is comfortable managing multiple priorities, maintaining accurate records, coordinating with internal stakeholders and outside counsel, and helping scale legal processes in a fast-paced environment. This role is well suited for a candidate with 3-5 years of experience as a paralegal or legal operations specialist in the wealth management industry, a corporate legal department, or a transaction, corporate or litigation law firm practice.
Duties and Responsibilities:
M&A and Recruiting Support
- Support all phases of M&A transactions and advisor recruiting matters, including due diligence, virtual data room administration, drafting, closing coordination, and post-closing integration activities.
- Maintain transaction checklists, diligence logs, signature packets, and post-closing action trackers to support consistent execution.
- Assist with preparation and distribution of transaction-related materials and correspondence.
- Organize and maintain transaction records, closing documentation, and advisor transition files.
Litigation and Dispute Management
- Support management of litigation, subpoenas, disputes, legal holds, discovery and document preservation activities, including maintaining matter files, trackers, and related documentation, redacting, Bates labeling, and assisting with processing document productions.
- Coordinate with outside counsel on information requests, document collections, matter updates, invoices, and key deadlines.
Contract Administration
- Review and process routine agreements, including non-disclosure agreements and other standard form contracts.
- Assist attorneys with contract review, preparation, execution, and tracking.
- Coordinate contract signatures and maintain executed agreement repositories.
- Support administration of the Company's contract lifecycle management (CLM) platform, including contract intake, workflow management, repository maintenance, and reporting.
Template and Legal Operations Support
- Maintain and update legal templates, forms, playbooks, and guidance materials.
- Support implementation of legal workflows, process improvements, and legal technology solutions to improve efficiency and consistency.
- Assist with administration of legal technology platforms and development of knowledge resources, training materials, and precedent databases.
Records and Governance Support
- Organize, maintain, and administer legal files, records, transaction documents, and matter repositories.
- Support legal intake, matter tracking, and responses to internal requests for legal documents and information.
- Assist with corporate governance matters, entity management, and maintenance of corporate records.
- Coordinate legal department projects and special initiatives.
- Perform other legal and administrative duties as assigned.
Skills, Experience & Qualifications:
- Bachelor's degree or paralegal certificate preferred.
- 3-5 years of experience as a paralegal or legal operations professional in a corporate legal department, financial services organization, or law firm.
- Experience supporting one or more of the following areas: mergers and acquisitions, corporate transactions, litigation management, contract administration, or commercial contracting.
- Strong organizational, project management, and document management skills.
- Ability to manage multiple projects and deadlines with attention to detail.
- Excellent written and verbal communication skills.
- Ability to work independently while collaborating effectively with attorneys and business stakeholders.
- High ethical standards, collegiality, and a growth mindset.
Preferred Experience
• Financial services, wealth management, broker-dealer, or registered investment adviser experience.
• Experience supporting M&A transactions, commercial contracting, or litigation matters.
• Experience with NDA administration, contract lifecycle management (CLM), virtual data rooms, document management systems, or other legal technology platforms.
• Interest in legal operations, process improvement, and knowledge management.
