The Assistant General Counsel and Privacy Officer will support both the EVP, Chief Legal Officer and the VP, Deputy General Counsel/Chief Compliance Officer by providing legal advice on a wide range of legal issues and compliance advice applicable to non-profit organizations. A successful candidate will have some substantive knowledge of privacy, technology, and data protection laws.
The portfolio of work also includes performing legal research and managing outside counsel. The portfolio could vary based on the experience of the individual and the needs of the organization.
- Jurisdoctoraterequired.
- Illinoislicensure or eligible for limited license for in-house counselrequired.
- Minimum 5 - 7 yearsofexperienceinacorporatelegalenvironment or as outside counsel is required.
- Experience working for a federated organization or within a federated structure is preferred.
20% Legal Consulting
Oversee the legal review efforts for the following areas:
- Privacy
- Information security
- Technology
In partnership with Vice President/Deputy General Counsel/Chief Compliance officer, manage
- Financial development
- Marketing and communications
- Strategic sourcing
- Service delivery/program development and innovation teams
Participate and provide legal updates as a member of cross-functional teams as assigned
20% Contracts
Oversee the review and negotiations of contracts.
- Draft, review and negotiate various types of contracts including memoranda of understanding, software license agreements, non-disclosure agreements, vendors agreements, commercial co-venture and cause related marketing agreements, sponsorship agreements, service provider agreements,and technology agreements.
- Develop, review and recommend updates to templates for frequently used agreements.
20% Policies and Procedures
Oversee the development and review of organizational policies and procedures.
- Draft, review, and assist in the development and maintenance of legal documents, such privacy policies and procedures.
20% Compliance
Oversee compliance efforts for the following areas:
- Management of the organizational privacy program
- Incident response plans and processes in partnership with the information security staff.
- Demonstrated experience with advising on privacy laws such as C
- COPPA (Children’s Online Privacy Protection Act) and GDPR (General Date Protection Regulation) as well as best practices related to online advertising and social media.
In partnership with the Vice President/Deputy General Counsel/Chief Compliance officer, support organizational compliance efforts:
- Draft and maintain privacy policy, disclosures, disclaimers, FAQs, and related communications.
20% Outside Counsel Management
In partnership with the Vice President/Deputy General Counsel/Chief Compliance officer, manage and triage outside counsel work related to privacy, technology and data.
- Serve as a strategic business partner and trusted legal advisor to Y-USA’s leadership team, help advance strategic business initiatives and provide day-to-day support.
- Takes the initiative and demonstrates a proactive, holistic approach to problem-solving.
- Evaluate evolving laws and regulations and provide comprehensive advice regarding their impact to Y-USA departments and external partners that support the service delivery model for local YMCAs.
- Assist in driving the development of procedures, tools and metrics to monitor use and effectiveness of Y-USA service delivery, and reports on such trends.
- Manage the contract intake process for the Office of the General Counsel by working with Procurement and other Y-USA departments to determine appropriate legal review.
- Collaborate with the Y-USA Financial Development team in managing the Office of the General Counsel grant review process.
- Draft, review, and negotiate various contracts for departments across Y-USA.
- Manage the Y-USA policy governance framework.
- Develop and/or review policies related to donors, YMCA members, grantees, licensees, volunteers (training, payments, etc.)
- Collaborate with IT Security on cyber security policies and procedures.
- Help develop integrated strategies across Y-USA to optimize new data use and innovations for the benefit of Y-USA and YMCAs.
- Develop positive cross-departmental working relationships to maintain an open environment for collaboration, risk identification, and remediation.
