Fortitude Re is a liability-led reinsurer of legacy insurance portfolios complemented by sophisticated investment capabilities. In 2016, AIG created a “Legacy” portfolio as a separate non-core segment representing insurance reserves associated with discontinued lines of commercial Property & Casualty and Life & Annuity insurance businesses. The following year, AIG formed a Bermuda-domiciled composite reinsurer, now Fortitude Re, to house the Legacy portfolio in a separate, distinct, well-capitalized balance sheet with a dedicated management team. In 2018, the company entered into a series of L&A and P&C reinsurance transactions with AIG and received an initial capitalization of ~$3 BN. The transactions represented ~$37 BN of reserves supported by ~$40 BN of invested assets. During this time, AIG also entered into a long-term partnership with The Carlyle Group, with Carlyle acquiring 19.9 % ownership. Then in 2019, The Carlyle Group and T&D announced acquisition of majority interest in Fortitude Re from AIG. This allowed for a new long-term shareholder base for the company while maintaining a strong capital position for supporting reinsurance obligations. Position Summary

This role is responsible for supporting the legal, regulatory, governance and compliance functions of Fortitude Group Holdings, LLC and its main operating subsidiary, Fortitude Reinsurance Company Ltd., a Class E and Class 4 licensed Bermuda reinsurer. This position will be based in Jersey City, Nashville or Bermuda.


Key Responsibilities:
Provide advice and guidance to the Company, including in the areas of:


Contracts & Transactions
  • Draft, negotiate and advise on commercial contracts, including vendor contracts, non-disclosure agreements and other general corporate contracts
  • Support structuring, negotiating and drafting of contracts including bespoke agreements related to M&A; (re)insurance; and agreements ancillary thereto for life & annuity and property & casualty (re)insurance business lines
  • Advise on corporate and legal entity expansion and restructuring options
Regulatory & Governance
  • Maintain corporate governance framework in compliance with regulatory and internal standards
  • Support preparation of materials for Company board and committees; provide advice on board and committee governance matters under Delaware and Bermuda law
  • Support Company interests through participation in industry and trade organizations
Compliance
  • Support the monitoring and management of Company’s compliance with internal policies and procedures
  • Provide guidance and training to Company employees on compliance with external and internal laws, regulations and policies matters
Position Requirements:
  • Minimum of 2 years of relevant experience with a highly recognized law firm or as in-house counsel
  • Experience with and deep interest in insurance and reinsurance
  • Demonstrated commitment to excellence in the provision of legal and compliance advice
