Associate General Counsel , Energy Trading & Products

AES Clean Energy, a subsidiary of the AES Corporation (NYSE: AES), is seeking an in-house attorney to join our legal team with a focus on energy derivative transactions, products and risk.

AES Clean Energy is a leader in clean energy development and one of the largest renewable energy IPPs in the country. AES recently combined all of its US clean energy business segments, including AES Distributed Energy and sPower, into a new division called AES Clean Energy. The newly combined legal team consists of 13 attorneys and 3 paralegals. This position will be a senior role within the legal group as the head of our energy products and trading legal function. This position requires a high level of expertise with the ability to clearly communicate, identify and mitigate risks and manage outside counsel.

Principal Duties and Responsibilities :

  • Providing strategic structuring advice to our newly formed energy products and trading group.
  • Reviewing, drafting and negotiating ISDA and EEI confirmations and collateral documents and related documentation for renewable energy transactions.
  • Drafting and reviewing energy sales agreements, structured products, commodity hedging arrangements (including physical and financial renewable energy hedges), etc.
  • Assist with risk management and oversight for the trading team.
  • Overseeing junior attorneys in the energy products and trading group.
  • Providing counsel on the structuring of new products.
  • Identification of Dodd Frank compliance issues.
  • Providing general legal counsel and strategic guidance to senior and executive level management.
  • Effectively and efficiently engage and manage outside counsel.

Desired Experience and Skills:

  • 10+ years of energy trading experience, preferably at a major law firm or in-house energy trading shop.
  • Knowledge and experience working with ISDA and EEI forms and energy sales contracts.
  • Demonstrated ability to lead and mentor a team.
  • Excellent interpersonal, written and oral communication skills.

Education and Qualifications:

  • J.D. from an accredited law school required, with excellent academic credentials.
  • Active bar membership in good standing in at least one U.S. jurisdiction.
