The Assistant General Counsel II at Olympus Corporation of the Americas is responsible for advising management and liaising with senior executives on a wide variety of matters and issues with respect to medical device development and manufacturing for Gyrus ACMI, Inc. d/b/a Olympus Surgical Technologies America and Olympus Scientific Solutions Americas Corp., and medical device and scientific and industrial equipment distribution, sales and marketing for Olympus Corporation of the Americas and Olympus America Inc.

Other responsibilities include general legal counsel for the Olympus manufacturing businesses; liaising with intellectual property team and other in-house attorneys on substantive issues; serving as a member of business executive committees; serving as recording secretary for company Board meetings; supervising sales program and template development; supporting litigation matters and outside counsel engagements; and maintaining Olympus' overall risk profile and ethical standards.


Job Duties

  • Serve as principal legal advisor for Olympus' medical device manufacturing business, including product development, procurement, supply, distribution, marketing and sales.

  • Provide guidance on risks and best practices related to Anti-Kickback Statute, False Claims Act, Food Drug and Cosmetic Act, and other laws, rules and regulations applicable to Olympus.

  • Provide support, and draft and negotiate, a variety of commercial transactions supporting product development, procurement, supply, distribution, marketing and sales.

  • Provide support in establishing and documenting sales programs and promotions.


  • Provide support to the medical device business, and scientific and industrial product businesses.

  • Develop, implement and deliver training on legal department policies and procedures.

  • Contribute to business group and legal department development of policies and standards.

  • Manage outside counsel engagements including establishing budgets and managing fees.

  • Proactively identify legal risks affecting Olympus and collaborate with senior management to mitigate risks.


  • Maintain active communication with Olympus' Associate General Counsel about legal risks.

  • Follow and advise the business and the legal team on major developments in laws and regulations.


  • Supervise and develop attorneys and paraprofessionals.


  • Must be team player, focused on collaboration with business and legal colleagues, and on business success.

  • Perform other duties as assigned.


Job Requirements

REQUIRED QUALIFICATIONS:


  • Member of Massachusetts state bar in good standing required.

  • Minimum 7 years of related legal experience, including medical device development and manufacturing.


  • Experience providing guidance on medical device Quality Systems and FDA regulations.


  • Experience providing guidance on the Anti-Kickback Statute, Food Drug and Cosmetic Act and other laws and regulations impacting medical device manufacturing, medical device sales and marketing, and the US healthcare industry.


  • People management experience preferred.


  • Prior practice with multinational law firm and relevant in-house experience preferred.


  • Federal Supply Schedule experience a plus.


  • Merger and acquisition experience a plus.

  • Excellent written and verbal communication skills and a positive professional image.
