Job Description


Apex’s corporate legal team (currently consisting of 7 lawyers, 2 paralegals and an administrative assistant) is seeking a full-time Paralegal to provide support to the legal team with respect to a broad range of corporate matters, including entity formation and management, support on M&A transactions, compliance support on corporate finance matters, and contract management. A successful candidate will demonstrate the ability to work quickly and effectively in a dynamic team environment and possess a passion for tackling new projects and acquiring new skill sets.

Responsibilities:

  • Assist in managing diligence data rooms for M&A and finance transactions.
  • Assist in creation of schedules for M&A and finance documents.
  • Assist in maintaining company minute books and ensuring corporate formality compliance including operating agreements, foreign qualifications and resolutions.
  • Maintain library of template contracts and act as first point of contact for routine contracts, including Master Services Agreements, Work Orders and NDAs.
  • Assist with the creation and maintenance of databases, trackers, and calendars regarding legal tasks, project-related deadlines, compliance filings, and internal recordkeeping
  • Bring your experience and creativity to identify solutions to increase the productivity of the legal team.

Qualifications
  • Paralegal experience with law firm or in-house legal department.
  • Experience with due diligence and closings of equity financings and M&A transactions.
  • Must be a self-starter, detail oriented (able to proofread your own work), and work independently with limited direction
  • Superb attention to detail.
  • Strong organizational skills and ability to manage multiple projects with moving deadlines.
  • Ability to work closely with cross-functional teams of internal and external resources.
  • Excellent communication skills.
  • Proficient in Microsoft Office suite of products as well as virtual data room platforms.
