Associate General Counsel

As the Associate General Counsel you will, assist in protecting the organization's legal interests and maintaining its operations within the scope established by law. Working with the General Counsel, you will analyze complex legal issues and implications on matters of significant impact to the business, and provide legal oversight, solutions-oriented guidance and recommendations to stakeholders including Senior Leadership on all legal matters affecting the Company to ensure activities, policies, business practices, and transactions comply with all relevant laws and regulations to help protect the organization from legal exposure. In addition, you will provide advice, counsel, and representation in several legal specializations including contract, employment law, intellectual property, legislative compliance, tax, litigation, acquisitions, etc.

Responsibilities:

  • Providing legal advice and counsel on commercial contracting matters with customers, vendors and other counterparties Contribute to financial decision-making and strategic planning by working with a variety of managers and stakeholders on
  • Contribute to the strategic planning process by applying independent judgment in determining courses of action required to perform assignments
  • Deploy value-based policies, along with effective employee training, to help protect the organization from legal liability
  • Draft and solidify agreements, contracts and other legal documents to ensure the Company’s full legal rights are protected
  • Ensure the legal rights of the Company are protected, its legal obligations and potential exposures and risks are well defined and understood by management, and that the Company complies with applicable laws and regulations
  • Manage contracts with customers, vendors, consultants, others, including negotiation of terms and conditions, analyzing and minimizing risk, drafting and executing contracts
  • Establish and maintain effective working relationships in support of business units, partnering proactively in the interest of achieving objectives and minimizing risk and exposure to the business
  • Provide clarification on legal language or specifications to the organization, with emphasis on translating legal knowledge into intelligent business solutions
  • Develop, maintain, and enforce the legal role in the business process infrastructure
  • Coordinate the work of outside legal counsel on related projects
  • Work proactively with cross-functional leaders to help achieve common goals and objectives through thoughtful analysis and collaborative partnership, making recommendations on all matters including policies and complex legal problems as needed
  • Create and apply business metrics to monitor quality and process effectiveness to define needs, manage processes and drive enhancements to ensure continuous improvement of organizational systems; see work as a series of processes
  • Keep abreast of business conditions in order to partner proactively with relevant stakeholders and deliver sound advice and counsel in the areas of financial decision-making and strategic planning
  • Demonstrate commitment to the development, implementation and effectiveness of Sekisui Diagnostics’ Quality Management System per ISO, FDA, and other regulatory agencies
  • Support Environmental Management System (EMS) activities and compliance per ISO14001
  • Understand and is aware of the quality consequences which may occur from the improper performance of their specific job

Qualifications:

  • Possess Juris Doctorate and Member in good standing of a state bar
  • Minimum of 8 years of relevant work experience in a corporate practice area, biotechnology or medical device industry experience strongly preferred
  • Experienced business lawyer with ability to form strong relationships with third-party partners and stakeholders at all levels of the organization
  • Demonstrated experience in drafting and negotiating various types of agreements including license agreements, vendor agreements, services agreements, confidentiality agreements, joint ventures, 510(k) legal review, etc.
  • Ability to understand both the legal and business impacts of decision and to interpret and translate business information into legally sound business solutions
  • Ability to convey ideas and messages effectively to a wide range of stakeholders
  • Ability to identify creative, business-oriented solutions to legal and business risks; provide proactive, consultative support as a trusted business partner
  • Highly organized and skilled at managing a large volume workload, including managing multiple projects of significant size and scope.
  • Demonstrated ability to efficiently define objectives for projects or initiatives, maximizing time and resources and overcoming obstacles in order to meet deadlines
  • Ability to work well under pressure; maintain composure and professionalism while handling multiple competing demands and requirements while working managing stakeholder expectations and varied work styles
  • Strong analytical, problem solving, organizational skills and strong interpersonal and communications skills (written and verbal)
  • Excellent attention to detail
  • Ability to work well in a global team environment

Domestic and international travel will be required (15%)
