General Counsel Overview: The General Counsel (GC) is responsible for the legal affairs of the various companies which make up the Key Family of Companies ("Key"). The GC provides legal counsel to the chief executive officer and other senior management as well as compliance and legal clarification to all areas of the company as part of the administration of healthcare programs within the Key Family. The General Counsel also acts as the Chief Compliance Officer, Chief Privacy Officer and Chief Security Officer.

General Counsel Essential Duties and Responsibilities:

  • Advising the company and senior management on a broad range of federal and state regulatory and compliance matters, including identifying areas of risk and making suggestions for improvement.
  • Ensure that Key corporate entities maintain compliance with all federal and state laws and regulations that impact their businesses.
  • Ensure that the employee benefit plans offered and administered by Key are compliant with all federal and state laws and regulations.
  • Negotiation of legal transactions and drafting of contractual agreements on behalf of the company.
  • Advising on employment matters in coordination with Human Resources.
  • Overseeing compliance and corporate governance issues.
  • Keeping informed of industry-specific regulations and ensuring that appropriate risk management strategies are in place.
  • Analyzing and summarizing legal documents.
  • Interpret laws, rulings and regulations for the Company leadership.
  • Prepare and draft legal documents.
  • Specify internal governance policies and regularly monitor compliance.
  • Provide advice and counsel to Key employees on business matters.
  • Attend conferences and seminars related to benefits administration and insurance regulation.
  • Other duties as required

General Counsel Competencies, Knowledge, Skills and Abilities:

  • Must possess strong initiative as well as excellent management, teamwork, delegation and problem-solving skills.
  • A Juris Doctor (JD) is required.
  • Bar admission in good standing.
  • 5 or more years of relevant experience required.
  • Experience with compliance requirements of federal and state law and regulations.
  • Experience with ERISA, employee benefits, health insurance, and HIPAA privacy issues.
  • Proven experience as a legal counsel in a business environment.
  • Excellent knowledge and understanding of corporate law and procedures.
  • Demonstrated ability to create legal defense and proactive strategies.
  • High degree of professional ethics and integrity.
  • Outstanding communication skills.
  • MA or BSc in Business Administration will be considered an advantage.
  • Experience with contract control procedures.
  • Sound judgement, ability to analyze situations and information to provide advice.
  • Familiarity with periodic reporting, regulatory and corporate governance mandates.
  • Ability to multi-task in a fast-paced business environment.
  • Law firm experience a plus.
