Our staff has begun office re-entry as of July 2021 with the expectation that all workers will be back in the office by September 7th. While we may be able to offer flexibility in the short-term and possibly longer-term, this role will not be offered on a fully remote basis.  This role is based in our Boston office.


Position Summary

This position provides legal counsel and advice on a variety of legal matters and projects throughout the Bank. Responsible for providing prompt and effective legal support directly to business units within the Bank on securities regulations or matters, particularly accounting, treasury and finance. Works closely with other members of Legal Department, including the EVP/General Counsel, and with other members of senior management of the Bank.


This role is ideal for someone with at least 6 years of experience. The majority of the work will be securities related with the opportunity to do some other legal work. We offer a predictable schedule in a collaborative office environment. Travel is not necessary for this role.


Specific Responsibilities

·        Supports accounting/controller functions, including assisting in the preparation of the Bank’s SEC periodic reports and other securities law filings.

·        Supports treasury functions, including transactional and regulatory support on interest rate swaps and repos, with the assistance of outside counsel as needed.

·        Provides counsel on finance issues, including matters implicating the Bank’s Capital Plan.

·        Participates in FHLBank System task forces and working groups.

·        Negotiates and drafts vendor contracts.

·        Attains and maintains a thorough knowledge of the law and current legal developments in areas of responsibility.

·        Attains and maintains an understanding of laws and regulations of specific applicability to the Federal Home Loan Bank System.

·        Other duties, as assigned.

 

Qualifications

·        Graduation from an accredited law school is required.

·        Current license to practice law in any state of the United States is required for consideration.

·        If not already licensed in Massachusetts, the selected candidate must be able to meet the necessary requirements for licensure within Massachusetts with-in an agreed-upon timeframe.


Professional Experience

  • 6 - 8 years of progressively responsible experience with a law firm or corporate legal department is ideal for this role. 


Knowledge/Skills

·        Familiarity with federal securities regulations required; experience preparing securities disclosure documents strongly preferred. Bank regulatory knowledge is a plus.

·        Familiarity with derivatives transactions preferred; experience negotiating derivatives documentation (interest rate swaps) a plus.

·        Contract review, drafting and negotiating experience required.

·        Strong issue-spotting, problem-solving and analytic ability must be demonstrated.

·        Ability to communicate effectively, both orally and in writing is required.

·        Ability to keep other members of legal department and internal clients informed of status or problems in a timely, businesslike manner is expected.

·        Ability to work independently to manage and prioritize multiple matters and associated dates is required.

·        Strong interpersonal skills, particularly active listening, influence and building productive professional relationships, are required for success in this position.
