Senior Counsel, Renewable Energ
Situation in Organization
  • A member of TotalEnergies Renewables USA, LLC (“TRUSA”) providing legal support and other key services to TotalEnergies’ U.S. renewable power generation businesses (such assolar and or wind projects).
Job Dimensions
  • Reporting to the Assistant General Counsel, Renewable Energy
  • Independently manage all legal aspects of TotalEnergies’ U.S. renewable power generation
  • businesses, including drafting and negotiating agreements and documents relating to strategic cooperation, acquisitions, project developments, project financings, engineering, procurement and construction, offtake and operations;
  • Provide legal advice and support to business managers relating to all legal aspects of renewable power generation; including compliance with applicable laws and regulations;
  • Coordinate with tax advisors to ensure TotalEnergies obtains maximum legal protection of and efficient monetization of renewable energy tax benefits;
  • Coordinate with the Finance team in connection with the financing of the projects (including debt and tax equity financings);
  • Coordinate with subject matter specialists such as HSE, energy regulatory, and compliance;
  • Engage with and effectively manage outside counsel to provide efficient and quality support to the business;

Activities
  • Manage legal due diligence of projects;
  • Negotiation, drafting and closing of complex commercial agreements relating to development of
  • renewable power generation projects, financing and operation; including in the following areas:
    • M&A;
    • joint venture formations and strategic cooperation;
    • corporate formations, restructurings, and governance documents;
    • project financings, including debt and tax equity financings;
    • engineering, procurement and construction;
    • supply agreements;
    • grid interconnection agreements;
    • power purchase agreements (PPAs) and other offtake agreements;
    • development services agreements; and
    • shared facilities agreements;
    • operation and maintenance agreements; and
    • other standard commercial contracts and corporate documents
  • Advise business managers on general corporate, commercial, and regulatory legal matters,
  • including but not limited to, risk mitigation, corporate structuring and governance, and
  • compliance.
  • Analyze and interpret laws, statutes, and regulations; identify areas of compliance and potential vulnerability and risk.
  • Engage outside counsel for specific legal matters, supervise and monitor their work to ensure that TotalEnergies receives excellent legal services and advice within budget and deadlines. Manage legal billing.

  • Involves evaluation and transfer of complicated tax benefits and specialized legal documentation of such transactions;
  • Independent legal counsel requires sound judgment, high ethical, legal and compliance standards, and self-motivation;
  • Rapid growth and complexity of the business requires business oriented attorney, comfortable working with a team, seeking practical solutions; excellent negotiating and communication skills; and a high level of organization and attention to detail;

  • Complex commercial transactions, administrative proceedings and corporate matters
  • Material legal, commercial and financial consequences of activities
  • Coordination of legal activities with Compliance team
  • Confidential and proprietary transactions and information

Candidate profile

Qualifications/ Required Experience
  • Passion for renewable energy;
  • Juris Doctorate from ABA accredited law school;
  • Admission to practice law in at least one U.S. state and the ability to practice law in Texas;
  • Preferably at least 8 years (at minimum 6 years) of experience negotiating and drafting agreements relating to M&A, financing and other complex commercial agreements;
  • A minimum of 3 years’ experience in legal matters relating to renewable power generation;
  • Preference for experience in both law firm and in-house settings;
  • Experience managing lawyers and other legal personnel;
  • Strong communication skills and a proven ability to advise business managers on complex legal matters
