Our Legal Division is expanding to enhance solutions for millions of clients and their families.

The Associate General Counsel II - Commercial Transactions
  • Provides the firm with specialized expertise in commercial transactions. Supports the General Counsel by managing a comprehensive range of contract matters for the firm by structuring, drafting, reviewing and negotiating a broad range of commercial agreements including benefits, banking, insurance, technology, software, hardware, services, cloud computing. Assesses and mitigates legal risks of firm activities.
  • Uses seasoned judgment to identify and assess potential liability to the firm, its affiliates, and its associates, and communicates effectively with senior executives and leaders.
  • Works with and advises the business directly, as well as providing guidance and practical solutions for various policies. Resolves complex and non-routine issues that require independent thought. Leads changes to procedures and processes.
  • Provides thought leadership, guidance and assistance on legal matters to senior executives and leaders. Communicates and interacts with associates at all levels of the firm including general partners, Management Committee members and Executive Committee members.
  • May delegate, direct and provide feedback to other attorneys and paralegals in the firm. Represents the firm to outside and opposing counsel. Manages external attorneys responsible for providing legal and regulatory advice to the firm.
  • Work load is large, diverse and complex.

Skills-Requirements
  • Requires J.D. and license to practice in Missouri or an equivalent state.
  • Requires a minimum of 5 years of progressive responsibility as an attorney in private practice, in the public sector or in an in-house counsel capacity.
  • Experience working independently in technology transactional work is strongly preferred.
  • Demonstrated leadership skills, ability to delegate and mentor, and desire to work well with others.
  • Possesses exceptional legal knowledge, judgment, work ethic, and integrity.
  • Should have demonstrated ability to analyze and resolve complex matters.
  • The ability to be proactive and drive matters to conclusion is a must.
  • Excellent communication skills and decision making ability required.
  • Extensive knowledge of the business functions and legal implications of commercial transactions and related matters is preferred.
  • Experience in the securities industry preferred.
