Purpose:
Key Member of Business Development and Securities Team – Works closely with Senior Managing Counsel - Business Development and members of the Securities & Corporate Governance legal teams as well as Venture Capital business partners:


  • Primary role – Supporting the venture capital business team along with the Senior Managing Counsel – Business Development in all aspects of creating, maintaining and exiting a large, strategic venture capital portfolio.
  • Secondary role – Assist the Securities and Corporate Governance team in compliance with related corporate law, securities law and NYSE listing requirements, with a particular focus on SEC reporting matters (e.g. Forms 10-K, 10-Q, 8-K, Annual Proxy Statement) and other general corporate and securities law matters and projects. Supporting corporate financing transactions.

Key Responsibilities:

  • In line with primary and secondary roles, as applicable, work closely with the Senior Managing Counsel – Business Development and members of the Securities & Corporate Governance team with respect to:

Venture Capital

  • Work with venture capital team to draft, review and negotiate term sheets from a legal and business perspective.
  • Review and advise on portfolio company actions including requests for board or shareholder consents.
  • Direct outside counsel on drafting and negotiation of investment documents.
  • Monitor portfolio company activity in staged or tranched investments to avoid missed opportunities or penalties.
  • Review and monitor limited partner investments in venture capital funds.
  • Advise the venture capital team on legal impact of subsequent financings, recapitalizations, debt transactions or exits by portfolio companies.
  • Work with the finance and accounting teams on reporting impacts of venture capital investment terms and transactions.
  • Coordinate with treasury and contract management teams to timely close investments.

Securities Law

  • Assisting other members of the Securities & Corporate Governance team with drafting and/or reviewing company filings with the SEC and the NYSE (or portions thereof), including 10-K, 10-Q, 8-Ks, proxy statements and registration statements as well as Annual Performance Report.
  • Assisting in the review of press releases, earnings and conference scripts, and other public disclosure materials.
  • Advising on insider trading and Section 16 issues.

General

  • Assist with corporate finance or securities transactions as needed.
  • Analyzing, drafting, reviewing and negotiating corporate agreements and complex contracts in support of the Corporate Legal Group more broadly, as appropriate.
  • Participate in M&A or divestiture projects as needed.

Minimum Qualifications

  • Juris Doctorate.
  • Five to eight years of venture capital, general corporate and public company securities law experience at a top law firm and/or at a public company.
  • Excellent attention to detail, legal research and writing, communication and project management skills.
  • Process oriented, able to multi-task, team player and ability to work independently with limited oversight.
  • Good judgment, keen diplomacy and strong interpersonal skills.
