The Corporate Paralegal will be responsible for gathering, preparing, and summarizing relevant materials for use by the Executive Team, Board of Directors, and legal counsel to include maintaining case files of new and existing legal documents, perform legal research, track documents, and assist with the completion of contracts, proofreading of various legal documents and assist with Board of Directors materials.

Essential Responsibilities:

  • Maintain an organized file directory for the company and all subsidiaries
  • General oversight and maintenance of company file directory
  • Maintain corporate calendar and committee calendar for Board of Directors (BOD)
  • Provide Board of Directors admin support, including maintaining BOD minutes, papering resolutions, and organizing meetings per the request of management or the BOD
  • Administrative support in relation to corporate governance programs, including managing CSE and Stock Exchange compliance
  • Support overarching corporate governance processes, including record keeping, preparation and organization of Board materials and meeting minutes, maintaining entity organizational charts, officer and director rosters, subsidiary documentation, facilitate and lead the annual director and officer questionnaire process, etc.
  • Create and edit various legal and administrative documents, including meeting minutes and materials, resolutions, governance documentation, certifications, consents, reports, etc.
  • Partner cross-functionally with the Finance, Corporate Controller and Investor Relations on equity administration, SEC filings, including proxy statements, periodic reports, SEDI filings, Section 16 filings, 10-K, 10-Q, 8K, etc.
  • Maintain public filings on both SEDAR and EDGAR, including SEDI profiles, Monthly Progress Reports, etc.
  • Create, maintain, and monitor new and existing entities to ensure entities are always registered and in good standing, to include foreign qualifications and DBAs, annual report filings
  • Support fundraising and M&A transaction teams, including coordinating internal legal communication, due diligence process support, and execution of definitive documents. Will include drafting and reviewing non-disclosure agreements, conducting due diligence, integration activities, etc.
  • Ensure deadlines are met for document creation or signature collection
  • Complete special projects and other assignments as requested

Qualifications:

  • Associates / Bachelor’s Degree in Paralegal Studies or equivalent experience
  • 7+ years of commercial legal experience
  • Corporate governance paralegal experience within a publicly traded company
  • Strong knowledge and understanding of corporate governance, finance, and / or securities transactions
  • Proven strength with verbal and written communications for legal correspondence including drafting resolutions, consents, minutes, charters, certificates, bylaws, etc.
  • Ability to effectively utilize entity management systems (e.g., CTAdvantage, HCue, etc.)
  • Proven strength with maintaining confidentiality and exercising appropriate discretion, while providing superior internal and external client service
  • Proficient in establishing project timelines and meeting expectations for project completion
  • Strong Interpersonal, Analytical, and Prioritization Skills with ability to work cross-functionally with stakeholders and teams, providing excellent support as needed
  • Experience with electronic signature software (DocuSign)

Compensation dependent on experience.
