About the role:



Provide paralegal assistance to Corporate Governance Group, reporting to Manager, Corporate Legal, as described below:



General Corporate Governance Responsibilities


  • Assist with preparation of documentation for board and/or shareholder meetings related to the statutory compliance of Boston Scientific’s global subsidiaries (the number of which is continually increasing as a result of acquisitions and global expansion efforts coordinated through the Entity Prioritization & Implementation Council (“EPIC”)), including drafting of documents.
  • Assist with preparation of the documentation for the appointment of corporate officers and directors of global subsidiary companies and delegations of authority to local management.
  • Coordinate circulation and tracking of documents requiring signature of corporate executives, including executive calendar tracking.
  • Update reports and track information for designated projects.
  • Maintain corporate record books.

Distributor Contract Management Activities


  • Prepare initial draft letters of authorization, tender letters and other required documents for BSC Channel Partners for review and circulation.
  • Prepare and track legalization of documents.

Other Activities


  • Paralegal support for designated projects (including EPIC-related projects at the discretion of manager).
  • Opportunity to provide general corporate paralegal support to SEC/governance, M&A.

Your responsibilities include:


  • Works independently and is organized, responsive and reliable; prioritizes time and is a problem-solver.
  • Takes initiative to accomplish tasks or projects without being asked or prompted; solution-driven.
  • Interfaces with Legal, Compliance, Corporate Finance and business teams.
  • Assists with document preparation to support governance and statutory compliance and ensures files and documentation are retrievable by group members.

What we're looking for:


Required Qualifications


  • Minimum 2-3 years of general corporate paralegal experience at a multinational company preferred.
  • Bachelor’s degree.
  • Excellent attention to detail, legal research and writing, communication and project management skills.
  • Process oriented, able to multi-task, team player and ability to work independently with limited oversight.
  • Good judgment, keen diplomacy and strong interpersonal skills.
