What is the opportunity?

  • Be a key member of the Global Procurement and Transactions Legal Team, providing senior level, best in class legal support and service to business and functional partners.
  • Be responsible for providing advice with respect to the drafting and negotiation of certain third party contracts, confidentiality agreements, and related documentation, as well as providing advice and other assistance on template agreements and existing agreements, managing the risks to RBC associated with engaging third party suppliers.
  • Manage the intake of new requests for legal support received by the Global Procurement and Transactions Legal Team.


What will you do?

  • Manage the intake of new requests for legal support received by the Global Procurement and Transactions Legal Team, including performing initial review, analysis, organization, prioritization and assignment of all new matters;
  • Draft, review, edit and negotiate low to medium risk third party and inter-affiliate contracts under limited supervision of counsel, including outsourcing arrangements;
  • Resolve legal issues relating to certain third party supplier contracts.
  • Interpret contract provisions, and advise and respond to questions from business and functional partners regarding RBC's contractual rights and obligations under existing third party supplier contracts;
  • Assist Team attorneys on more complex, high risk transactions and contracts;
  • Track Team matters and projects, including status, and report to senior management;
  • Manage the developing, updating and maintaining of templates;
  • Manage and assist in the implementation, maintenance and improvement of new and revised legal procedures and policies; recognizing and recommending efficiencies and improvements in processes and procedures;
  • Manage and assist in various projects related to third parties, including regulatory compliance projects;
  • Train and indirectly supervise more junior Team paralegals and contract specialists; and
  • Attending regular Global Procurement and Transactions Legal Team meetings.


What do you need to succeed?

  • Undergraduate degree or relevant designation; Paralegal Degree/Certification
  • Minimum 3 years of experience in contract drafting and negotiation
  • Solid understanding of contracts and legal research
  • Strong written and oral communication skills
  • Strong attention to detail and keen analytical abilities and aptitude
  • Ability to manage significant and diverse workload
  • Ability to work well under pressure in fast-paced environment
  • Proficient computer skills in Windows-based software products such as Word, Excel and Outlook
  • Excellent interpersonal skills and ability to develop effective working relationships
  • Ability to work independently as well as collaboratively within a team and across the organization
  • Adaptable and able to pivot; committed to continuous learning
  • Tenacious – ability to challenge without becoming confrontational.
  • Attention to detail.
