POSITION OVERVIEW:

The Transactions Counsel will be a key member of the legal and compliance team, responsible for a variety of legal and regulatory matters associated with Masterworks’ operations and assist in the development and implementation of compliance processes and procedures to support the company’s continued growth. Several aspects of the company’s business model are novel, requiring a thoughtful, creative and pragmatic approach to legal and compliance matters.

RESPONSIBILITIES:

The Transactions Counsel will work collaboratively with the General Counsel across the business, including the marketing, financial operations and art acquisitions teams, to assist with a variety of legal activities. This is a fast-paced high-growth environment in which decisions are made rapidly. The successful candidate will be sharp, highly organized and adept at creative problem-solving in a manner that does not unduly hinder the company’s business objectives. This is not a remote position and the successful candidate will work at our corporate offices at 225 Liberty Street in Lower Manhattan.

We are looking for a transactional and corporate generalist. Specific areas of responsibility may include:

  • Transactional. The company is among the most active participants in the art market and is a leading Regulation A securities platform. The successful candidate will lead art acquisitions, dispositions and loans, lead and assist on parent company transactions, such as leases, debt and equity financings and strategic partnerships, and may also assist the financial operations team with offerings and SEC filings.
  • Governance. Preparation and maintenance of governance documents for the company’s investment vehicles and the parent entity, as well as assistance implementing governance policies and procedures throughout the organization.
  • Compliance. Assisting the compliance and finance teams in the development, refinement and implementation of controls, policies and procedures to comply with applicable legal, regulatory and contractual requirements.
  • Contracts. Drafting and negotiating commercial contracts with business partners, vendors, and service providers.
  • General Corporate Legal. The successful candidate will provide support on a variety of legal matters, including, without limitation, employment matters, data privacy, Terms of Use, intellectual property, marketing contracts, corporate transactions, etc.

EXPERIENCE & SKILL SETS:

  • 2+ years in a nationally recognized law firm, preferably with experience in securities law, M&A, and or general corporate background.
  • 3+ years working as an in-house counsel preferred, ideally with a technology-oriented or financial services growth company.
  • Must be available to work in person in Lower Manhattan.
  • J.D.; admitted to the NYS Bar in good standing.
  • A business-minded professional, who is capable of balancing legal and compliance with business opportunities.
  • High academic achievement, attention to detail, analytical, practical commercial orientation, excellent written and verbal communication skills.
  • Compensation commensurate with experience.
