Responsibilities:
The Associate General Counsel will serve as a legal resource for all business lines of a publicly traded financial holding company with banking operations and diversified financial services subsidiaries with various responsibilities, including to:

  • Conduct legal research and analysis regarding legal questions that arise from the company’s lines of business.
  • Oversee assigned litigation matters, including assisting in the oversight of outside counsel as necessary.
  • Draft and review forms, disclosures and agreements for all of the company’s lines of business.
  • Provide advice and counsel regarding implications of new laws that impact the Company’s business and stay abreast of developments in applicable laws and regulations.
  • Advise on employment-related issues, including drafting and reviewing employment, non-solicitation, and compensation agreements.
  • Provide legal counsel and support oversight of the Bank’s compliance functions.
  • Assist on SEC compliance, corporate governance, mergers and acquisitions, and public company related issues.
  • Assist with the review and assessment of new and existing products and business opportunities from a legal and regulatory perspective.
  • Maintain proficient knowledge of, and demonstrate ongoing compliance with all laws and regulations applicable to this position, ensure ongoing adherence to pertinent policies, procedures, and internal controls, and meet all job-specific training requirements in a timely fashion.

The Associate General Counsel will join a growing, collegial and dynamic organization and legal team and will interact with and have significant visibility with the Bank’s executive management and Board of Directors.
Qualifications:
  • Juris Doctorate required from an accredited law school and licensed to practice law in the State of New York.
  • Required personal characteristics include:
    • Strong leadership.
    • Excellent interpersonal, communication, presentation and organizational skills.

    • Independent judgment with strong analytical skills.
    • Ability to identify and evaluate legal and compliance risks.
    • Ability to apply sound and practical business judgment.
    • Ability to meet project deadlines, managing multiple responsibilities while effectively focusing on priority issues.
    • Ability to adapt to change.
    • Ability to work effectively with all levels of management, business units, outside counsel, and regulators.
    • Working knowledge of applicable state and federal banking regulations.
  • Minimum of 5-8 years’ relevant experience in a law firm or in-house legal department with strong leadership and project management skills.
