Ecolab has an opening in its Commercial Law department in St. Paul, MN, for experienced attorneys with a solid background in healthcare and life sciences law.  The position functions as a primary contact for commercial law matters for Ecolab’s Healthcare and Life Sciences businesses, including drafting and negotiating customer and distributor contracts, legal questions, training, and other assigned matters.  Responsibilities also include advising on commercial, regulatory, and compliance matters affecting the sale of the company’s products and services, as well as collaborating on issues with the regulatory, quality, and compliance functions. This Attorney will serve as a strategic business partner to the businesses by providing clear legal advice and practical business-focused solutions enabling achievement of their objectives while appropriately managing risk and protecting Ecolab’s integrity and reputation.

Ecolab is a global leader in water, hygiene, and infection prevention products and services that protect people and vital resources.  Ecolab’s Healthcare Division protects patients and healthcare workers with infection prevention, cleaning and disinfection products and services for health systems, hospitals, clinics, and ambulatory surgical centers.  Ecolab’s Life Sciences Division provides our customers with complete cleaning and sanitization programs for pharmaceutical, personal care, and cosmetic manufacturing equipment and cleanrooms. 

What You Will Do:

  • Provide sound, practical judgment in the interpretation and application of relevant laws including, antitrust laws, FDCA and other healthcare laws and regulations, Anti-Kickback Statute, discount and GPO safe harbors.
  • Demonstrate knowledge of general commercial and healthcare law; specifically, regulations related to group purchasing organizations and the manufacture and sale of drug and medical device products.
  • Represent the business unit’s best interests in its relationships with customers, vendors, and other business partners.
  • Consult with and seek guidance from senior attorneys and subject matter experts when appropriate.
  • Work under the general supervision of senior attorneys and exercise sound judgment as to matters that require attention of business, legal, and compliance senior leadership.
  • Draft, review and negotiate commercial agreements for Healthcare and Life Sciences Divisions.
  • Ensure timely and comprehensive contract administration.
  • Assure that contractual obligations are appropriate and achievable, and risks are minimized.
  • Identify opportunities and implement template and contract process improvements and efficiencies.
  • Advise the business unit leadership, sales and functional associates on legal and commercial matters. 
  • Assist with development of training materials for sales, marketing and other business unit associates; conduct training on negotiation and contracting best practices, commercial concepts, and compliance matters.
  • Review marketing and other sales materials for legal compliance.
  • Assist senior attorneys with other assigned matters, including M&A due diligence and customer claims.

Minimum Qualifications:

  • Law degree from an accredited U.S. law school and admission to the Bar.
  • 6+ years minimum experience in, or advising, drug and/or medical device businesses and 10+ years legal experience overall.
  • Healthcare and life sciences industry knowledge, including a well-developed understanding of the businesses.
  • Ability to diagnose commercial and legal problems and present positive, creative solutions and alternatives.
  • Excellent interpersonal, verbal and written communication skills; possesses an effective negotiation style.
  • Ability to work independently, appropriately prioritize workload, meet deadlines, and follow through on matters handled.

Preferred Qualifications:

  • Experience in, or advising, businesses manufacturing and marketing cosmetic or biocidal products.
  • Knowledge of cGMPs for drug and medical device manufacturers.
  • Strong relationship management skills.
  • Experience working in a matrix organization.
