JOB OVERVIEW

If we fall short and receive a complaint from a customer, we are committed to resolving that complaint promptly, fairly and effectively. As Counsel, Corporate & M&A, you will play a key role in supporting Vroom’s growth as it scales. Your primary areas of focus will include general corporate law, corporate transactions, corporate governance and contract negotiation and review. Also, because we are a small legal team, we need a team player who is flexible and relishes the opportunity to roll up your sleeves and help cover the broad range of day-to-day legal needs of the organization. DUTIES AND RESPONSIBILITIES

  • Work on M&A and other strategic corporate transactions, including negotiating definitive transaction documents and other ancillary documents and assisting with the due diligence process
  • Work with the business teams to understand the business implications of key legal terms and communicate them effectively to the M&A deal team
  • Strategize and work closely with the business teams to iterate legal documents
  • Support the business teams with post-closing integration processes
  • Manage all aspects of subsidiary governance, including maintaining and updating corporate governance documents for Vroom’s subsidiaries.
  • Assist with other general corporate matters, including entity formation and management, contract review and administration, vendor relationships, licensing, inter-company arrangements, and tax considerations.
  • Draft, review and negotiate a wide variety of commercial agreements, including SaaS subscription, technology, vendor and strategic partnership agreements
  • Assist with the development of form agreements and standard template language for contract playbooks
  • Collaborate with and manage outside counsel where applicable

Can be partially remote (Hybrid) – NYC Area

Candidates for this role must display exceptional professional interpersonal skills and the ability to effectively interact and collaborate with attorneys, management, business colleagues, and outside parties. Because we are a lean legal team, the right candidate is someone who is flexible and thrives in an environment where you are rolling up your sleeves and covering the broad range of day-to-day legal needs of the organization.

REQUIRED SKILLS

  • J.D. from a top-tier law school
  • Member of the NY bar and in good standing
  • 3 to 5 years of relevant experience
  • Minimum 3 years of relevant experience at a reputable law firm
  • Both law firm and in-house experience preferred
  • Knowledge of the General Corporation Law of the State of Delaware
  • Experience with mergers & acquisitions transactions
  • Experience with corporate governance; experience with subsidiary governance preferred
  • Experience with drafting, reviewing and negotiating a variety of commercial, marketing and other technology-related business agreements
  • Skilled at developing approaches to legal challenges while remaining business-focused
  • Demonstrated ability to quickly learn new areas of law and regulation in a variety of jurisdictions
  • Ability to multitask, work independently and carry out important projects with limited oversight
  • Excellent problem-solving capabilities, judgment, communication and interpersonal skills
  • Superior organizational skills and attention to detail

PREFERRED SKILLS

  • Previous law firm and in-house experience is preferred.
