Private Equity Fund Counsel (SVB Capital)


SVB is currently seeking candidates for the position of Counsel. The attorney will join our Legal Team to support primarily our fund formation, equity, debt and other strategic investments within our private investment fund division, SVB Capital. This position will focus primarily on fund formation and investments, but will also support, to a lesser extent, other general SVB Capital legal needs.

The successful candidate must have demonstrated experience with fund formation in private equity. Experience with strategic partnerships, start-up debt/equity investments and a familiarity with federal banking regulations is a plus. Key attributes for success in the position are flexibility, empathy and adaptability, which will allow you to collaborate effectively with colleagues in Legal, SVB Capital and our compliance and risk functions to implement practical, risk-calibrated solutions. A willingness to roll up sleeves to support a fast-paced, dynamic business is also essential.

Candidates located in the San Francisco Bay Area or New York preferred, but there is some flexibility to consider candidates located in other locations in the US.

Responsibilities:

  • Providing legal support for the negotiation and formation of funds, co-investment vehicles, separately managed accounts and other SPVs.
  • Providing legal support for fund of fund investments and credit investments from our venture capital and private credit funds, including due diligence support.
  • Advise on legal compliance matters, including investment advisory and securities law requirements, international securities law compliance, banking regulations and other general corporate law matters.
  • Supporting new product development, fundraising and strategic initiatives, including placement agent arrangements, family office initiatives and other strategic programs.
  • Supporting the legal aspects of investor relations, including transfers of LP interests, side letter compliance and other fund management matters.
  • Assisting with governance and operational needs of our funds business.
  • Drafting legal agreements, memos, policies and other business documents.
  • Proactively collaborating with stakeholders across the enterprise, including compliance, finance, risk, and other key partners.
  • Supporting other projects for the Legal department as necessary, as well as contributing to the development of the team’s best-in-class practices.

Skills and Qualifications:

  • At least 3 years’ experience (in-house or with a law firm), with a minimum of 2 years law firm experience.
  • Practical, business savvy, solutions-oriented approach.
  • Excellent judgment, self-starter, collaborative and knows when to seek advice from others.
  • Strong written and oral communication skills.
  • Strong attention to detail, well organized and able to effectively prioritize multiple projects under deadline pressures.
  • Intellectual curiosity / willingness to learn new legal subject matter areas as needed.
  • Ability to interact with regulators.
  • Ability to seek creative, innovative solutions for complex business matters.
  • Ability and desire to build relationships with others and a sense of humor.
  • Licensed to practice law in the United States.
