The Corporate Counsel, Commercial Operations serves as a legal partner for Cox Enterprises’ corporate functions and operational business units.  The Corporate Counsel, Commercial Operations provides strategic legal advice to internal business stakeholders.  This includes drafting and negotiating commercial agreements that minimize risks and maximize legal rights and advising on complex, significant matters that cut across legal and related areas.  This role reports to the Assistant General Counsel, Commercial Operations and will involve regular interaction with clients as well as internal and outside counsel. 

 

Key Responsibilities:

  • Provide legal counsel and advice on a broad range of day-to-day operational legal topics, including commercial transactions and contract negotiations
  • Draft, review and negotiate commercial contracts, supplier/vendor agreements, real estate agreements, software agreements, technology agreements, services agreements, and NDAs in support of the Company business functions and operating entities.
  • Collaborate with internal clients to effectively minimize legal risk to the business while supporting and assisting in the achievement of the company’s business and strategic objectives.
  • Engage in a participative and proactive style of legal practice to best serve internal clients.
  • Work in collaboration with other in-house attorneys and outside counsel.
  • Collaborate with Cox’s other division commercial attorneys to facilitate initiatives and elevate best practices.
  • Review and advise on both core and new products, product enhancements, and cutting-edge technologies.
  • Identify and address difficult issues, develop and evaluate alternatives, provide advice and implement solutions in the context of commercial transactions.
  • Anticipate issues and estimate risks strategically
  • Identify proactive solutions that will mitigate risks. 
  • Base decision-making process on ethics and integrity.
  • Create associations of trust and respect with key stakeholders.
  • Manage outside legal resources and work effectively with other external parties. 

Qualifications:

  • Where permitted by applicable law, must be fully vaccinated against COVID-19 to be considered for this U.S.-based job. (Reasonable accommodations for medical and religious objections will be considered.)
  • Minimum of four years’ experience as a practicing lawyer
  • Experience drafting and negotiating commercial contracts, real estate, and technology agreements. 
  • Excellent interpersonal skills and written and verbal communication skills.
  • Prior in-house experience is a plus but not required
  • Strong skills in interpreting, drafting, and negotiating sophisticated contracts.
  • Ability to work with cross-functional teams and work under pressure to meet deadlines.
  • Efficiently manage a large volume and variety of transactions 
  • Ability to organize, prioritize, and manage projects effectively.
  • Adaptable, flexible, comfortable with uncertainty and ambiguity.
  • High degree of professional ethics and integrity
  • Excellent judgement and analytical skills.
  • Excellent customer service skills, time management, project management, and follow-up.
  • Ability to anticipate legal issues or risks and proactively get ahead and provide solutions.  

J.D. degree required and must be a member in good standing of at least one state bar
